Job summary

Intapp in Charlotte, NC, is seeking an experienced Corporate Counsel to lead US and international subsidiary governance, oversee M&A diligence, and provide securities support for our NASDAQ-listed company.

You will draft board materials and resolutions, manage registrations and filings, coordinate with outside counsel, and partner with leadership to move deals and strategic initiatives quickly in a hybrid, collaborative environment.

Qualifications

• Minimum 3 years of corporate and/or transactional experience at a law firm or in-house legal department.
• Attorney licensed in good standing.
• Experience counseling businesses with international presence is a plus.
• Strong ability to identify, prioritize and resolve issues quickly and independently.

Responsibilities

• Lead US and international subsidiary governance and management.
• Prepare board materials and minutes for subsidiary boards.
• Draft corporate resolutions and manage registrations and filings.
• Assist treasury and banking matters and delegations of authority.
• Review NDAs and support M&A and strategic transactions.
