General Counsel & Corporate Secretary – Mining

Location: United States (remote with travel)

We are working with a mining company entering a critical phase of its development, moving into production and positioning for long-term growth.

This is a senior executive appointment offering full ownership of the legal function within a lean, high-impact environment, working closely with the CEO, CFO and Board.

Scope of the role

Lead and manage the legal function within a lean structure

Take ownership of SEC reporting, disclosure controls, and public company governance

Support cross-border legal matters across U.S. and Canadian (TSX) frameworks

Advise on financing activities, capital markets initiatives, and investor-facing processes, including potential progression toward a NYSE listing

Lead or support M&A, partnerships, and strategic transactions as part of the company’s growth strategy

Provide legal support across operations, including contracts, permitting, and commercial arrangements

Act as Corporate Secretary and key advisor to senior leadership

Candidate profile

Senior legal leader with experience within mining, natural resources, or a related sector

Demonstrated ownership of SEC reporting and public company obligations

Experience operating across cross-border frameworks (U.S. / TSX strongly preferred)

Proven exposure to M&A, financing, and capital markets activity

Comfortable operating in a lean, hands-on environment with high levels of ownership

Ability to operate across both corporate and operational legal matters

US-based or able to operate effectively within US time zones
