Almond Partners (Buy-Side Executive Search) is seeking a General Counsel for a top venture and growth fund with $22B AUM. The role will scale the legal function and protect and grow a portfolio of high-growth technology companies across AI, cybersecurity, healthtech, fintech, and enterprise SaaS.

You will report to the Founding General Partners, oversee fund formation, investments, and portfolio company governance, and shape the firm's risk framework as it scales.

Qualifications

• 10+ years of legal experience, with 5+ years in-house at a VC/PE/growth fund or top-tier VC/PE firm.
• Deep expertise in fund formation, securities law, and venture investment transactions.
• Proven ability to advise portfolio companies across multiple sectors.
• Experience managing outside counsel and growing a legal function.
• Strong commercial judgment and business partner mindset.
• Bar admission in NY or CA, or willingness to obtain.
• Experience in a venture-backed or rapidly scaling environment is a plus.

Responsibilities

• Oversee all legal matters across fund formation, investments, and portfolio support.
• Lead fund formation, investor relations, regulatory filings, and securities compliance.
• Advise the investment team on deal structuring, term sheets, due diligence, closings.
• Provide strategic counsel to portfolio companies on governance, contracts, IP, employment, and regulatory.
• Build and scale the legal function with hiring, processes, outside counsel relationships, and a budget.
• Partner with CFO on tax, audit, and operational risk.
• Monitor regulatory developments in AI, data privacy, cybersecurity, and fintech; translate into guidance.
• Shape risk posture and governance framework as the firm grows.

About the Opportunity

We're a top venture and growth fund with $22B AUM, and we're looking for a General Counsel the person who will scale our legal function and shape how we protect and grow a portfolio of high-growth technology companies. Our portfolio spans AI, cybersecurity, healthtech, fintech, developer tools, and enterprise SaaS, so you'll get exposure to the most dynamic sectors in the market, not a narrow slice of one industry.

This is a rare seat. You'll report directly to the Founding General Partners senior leadership team, sit at the table on the decisions that matter, and have ownership over the legal strategy of a firm managing tens of billions in assets.

Responsibilities

• Serve as the firm's legal leader, overseeing all legal matters across fund formation, investments, and portfolio company support.
• Lead fund formation and ongoing fund operations - LPA negotiations, investor relations, regulatory filings, and compliance with securities laws.
• Advise the investment team on deal structuring, term sheets, due diligence, and closing transactions across the portfolio.
• Provide strategic legal counsel to portfolio companies on governance, commercial contracts, IP, employment, and regulatory issues as they scale.
• Build and scale the legal function - hiring, processes, outside counsel relationships, and a legal budget that scales with the firm.
• Partner with the CFO and operations team on tax, audit, and operational risk matters.
• Monitor regulatory developments in AI, data privacy, cybersecurity, and fintech, and translate them into practical guidance for the firm and portfolio.
• Shape the firm's risk posture and governance framework as it grows.

Qualifications

• 10+ years of legal experience, with at least 5 years in-house at a VC, PE, or growth fund, or at a top-tier law firm serving the venture ecosystem.
• Deep expertise in fund formation, securities law, and venture investment transactions.
• Proven ability to advise portfolio companies across multiple sectors and stages.
• Experience managing outside counsel and building legal processes from scratch or scaling an existing function.
• Strong commercial judgment - you think like a business partner, not just a lawyer.
• Bar admission in New York or California, or willingness to obtain it.
• Experience in a venture-backed or rapidly scaling environment is a plus.
