Job summary

H&P Executive Search is assisting a publicly traded AI infrastructure company in the San Francisco Bay Area to recruit a General Counsel. This executive will build and lead the legal function, serving as a strategic adviser to the CEO, leadership team, and Board while overseeing governance, compliance, regulatory, and corporate matters.

Key responsibilities include governance and securities, contract oversight with customers and vendors, and guidance on AI, cloud, GPU deployments, and licensing.

Responsibilities

• Principal legal advisor to the Board of Directors and executive leadership team.
• Lead all public company legal and governance matters, including SEC reporting, Nasdaq compliance, insider trading policies, disclosure controls, and corporate governance initiatives
• Oversee negotiation and management of customer, vendor, cloud infrastructure, colocation, and strategic partner agreements.
• Develop scalable contracting frameworks that support enterprise customer growth.
• Advise on legal issues related to AI infrastructure, cloud computing, GPU deployments, software licensing, and emerging technology.

Position Overview:

We are working with a publicly traded accelerated compute platform purpose-built for artificial intelligence workloads. The group delivers scalable GPU-based infrastructure optimized for AI training, inference, and high-performance computing. The organization is seeking a General Counsel to build and lead the company's legal function during this period of growth. This executive will serve as a strategic advisor to the CEO, executive leadership team, and Board of Directors while overseeing all legal, governance, compliance, regulatory, commercial, and corporate matters.

Responsibilities:

Corporate Governance & Securities

• Serve as principal legal advisor to the Board of Directors and executive leadership team.
• Lead all public company legal and governance matters, including SEC reporting, Nasdaq compliance, insider trading policies, disclosure controls, and corporate governance initiatives

Commercial & Customer Agreements

• Oversee negotiation and management of customer, vendor, cloud infrastructure, colocation, and strategic partner agreements.
• Develop scalable contracting frameworks that support enterprise customer growth.

AI, Technology & Infrastructure

• Advise on legal issues related to AI infrastructure, cloud computing, GPU deployments, software licensing, and emerging technology.
