Gridco looks for its first in-house General Counsel to lead contracting, risk management, and governance across multi-state operations. You will review and negotiate prime contracts, build the contract playbook, and guide regulatory, employment, and transactional matters.

The role requires a J.D. with active bar admission, extensive in-house or EPC experience, and a track record of handling complex negotiations with sophisticated counterparties.

• Review, negotiate, and enforce prime contracts, MSAs, subcontracts, POs, and teaming agreements.
• Build Gridco's contract playbook with standard positions, fallback language, and escalation thresholds.
• Oversee claims, risk, and insurance programs with third-party administrators and brokers.
• Advise on labor and employment matters across multi-state fieldwork and payroll practices.
• Manage regulatory licensing, registrations, and prompt payment remedies.
• Support corporate transactional work including NDAs, diligence, and post-close tasks.

WhatYouDo:

Commercialcontracting.Review,negotiate,andenforceprimecontracts,masterserviceagreements,subcontracts,purchaseorders,andteamingagreements.BuildGridco'scontractplaybook—standardpositions,fallbacklanguage,andescalationthresholdsthatletprojectteamscloseroutineagreementswithoutyou.Thetermsthatmovemoneygetyourattention:indemnityandadditionalinsuredobligations,consequentialdamageswaivers,liquidateddamages,differingsiteconditions,changeorderandnoticeprovisions,retainage,termination,andflow-downtosubcontractors.

Claimsandrisk.Manageworkers'compensation,generalliability,andcommercialautoclaimsalongsideourthird-partyadministratorandbroker.Overseereserveadequacy,subrogation,andrecovery.Ownlitigationstrategyandtheoutsidecounselwhoexecuteit.PartnerwithourVPofSafetyonincidentresponse,includingprivilegepreservationoninternalinvestigations.

Insuranceandsurety.Managetheannualinsuranceplacementwithourbroker—programstructure,limits,retentions,potentialcaptiveprograminvolvement.Ownthesuretyrelationship,includinggeneralindemnityagreementtermsandbondingcapacity.

Laborandemployment.Adviseontheexposuresspecifictoamulti-statefieldworkforce:traveltime,perdiem,stormworkovertime,andvaryingstatepaypractices.Handleprevailingwage,Davis-Bacon,andcertifiedpayrollcompliance.ManageEEOCchargesandemploymentlitigation.Adviseonrestrictivecovenants,terminations,accommodations,andI-9compliance.Gridcooperatesopenshopacrossallservicelines.

Regulatory,licensing,andpaymentrights.Maintaincontractorlicensingandqualifyingpartyrequirementsineverystateweoperate,alongwithentityregistrationsandgoodstanding.HandleOSHAcitationresponseandDOT/FMCSAfleetcompliance.Preserveandenforcemechanic'slien,bondclaim,andpromptpaymentremedies—arecurringcashrecoveryfunction,notareactiveone.

Strategicdevelopment.Partnerwiththeexecutiveteamoncommercial,industrial,anddatacenterpursuits.Structureteamingagreements,jointventures,NDAs,andcapacitycommitments,andallocateriskinmulti-stakeholderdealsinvolvingowners,developers,EPCs,utilities,andOEMs.Pressure-testwhetherapursuit'scontractualstructureactuallysupportsthemarginthepursuitassumes.

Corporateandtransactional.Supportbuy-sideacquisitionsendtoend:NDAs,lettersofintent,diligence,purchaseagreements,andpost-closeintegration.Supportcreditagreementcomplianceandentityworkalongsidethefinanceteam.Maintainentitygovernance,minutebooks,andboardmaterialsataninstitutionalstandard.

Programandstewardship.Selectandmanageoutsidecounselagainstabudgetyouown.Maintainlitigationholds,recordsretention,andsubpoenaresponse.Ownthecodeofconduct,theethicsreportingchannel,dataprivacyandvendorsecuritycommitments,andthecompliancecalendar.

WhatYouBring:

• J.D.andactivebaradmissioningoodstanding.IfyouarelicensedoutsideAlabama,youmustbeeligibleforAlabamain-housecounselregistration.
• Twelveormoreyearsofpractice,includingmeaningfulconstructionorengineeringindustryexperience—in-houseatacontractororEPCfirm,oratafirmwithasubstantialconstructionpractice.
• Commandofcontractor-specificrisk:indemnity,additionalinsured,lienandbondrights,differingsiteconditions,anddelayandproductivityclaims.
• Multi-stateemploymentlawfluency,includingprevailingwageandwage-and-hourexposureinafieldworkforce.
• Atrackrecordofnegotiatingwithsophisticatedcounterpartiesandtheircounselwithoutescalatingeveryissue.
