Job summary

Coreforcetech in Atlanta, GA is seeking a Senior Counsel to provide practical, day-to-day legal support, including customer contracts, commercial agreements, NDAs, and employment matters.

This hands-on role partners with Sales and leadership to draft, negotiate, and advise on complex agreements while managing risk and outside counsel. Requires a JD, Georgia bar, 5+ years in tech or SaaS environments.

Qualifications

  • J.D. from an accredited law school.
  • Active membership in the State Bar of Georgia.
  • Five or more years of relevant legal experience, including law firm work.
  • Strong contract law knowledge with experience in commercial agreements.
  • Experience with software, SaaS, technology, or tech-enabled companies.
  • Knowledge of licensing, IP, data privacy, and information security terms preferred.
  • Government contracting experience required.
  • Knowledge of employment law and HR-related matters preferred.

Responsibilities

  • Draft, review, negotiate, and advise on customer and commercial agreements (MSA included).
  • Draft and negotiate NDAs, confidentiality, vendor, and partner contracts.
  • Partner with Sales and leaders to facilitate transactions while managing risk.
  • Advise on indemnification, liability limits, warranties, IP, privacy, and security.
  • Provide practical legal guidance on obligations, risks, and business decisions.
  • Develop contract templates, terms, negotiation guidelines, and approvals.
  • Assist with amendments, renewals, disputes, and post-execution questions.
  • Coordinate with HR on employment-related matters and compliance.
  • Manage outside counsel, monitor budgets, and ensure cost-effectiveness.
  • Maintain corporate records and support practical legal processes.

Essential Duties & Responsibilities

The essential functions include, but are not limited to, the following:

  • Draft, review, negotiate, and advise on customer and commercial agreements, including master services agreements.
  • Draft, review, and negotiate non-disclosure agreements, confidentiality agreements, vendor agreements, supplier agreements, partner agreements, and other third-party contracts as needed.
  • Partner with Sales and business leaders to facilitate customer transactions while appropriately managing contractual and legal risk.
  • Advise on key contractual provisions, including indemnification, limitation of liability, warranties, intellectual property, confidentiality, insurance, data privacy and security, termination, and other areas of potential risk.
  • Provide clear, practical legal guidance to business and department leaders regarding contractual obligations, legal risks, and business decisions.
  • Develop and maintain contract templates, standard terms, negotiation guidelines, approval processes, and preferred fallback positions to improve consistency and efficiency.
  • Assist business teams with contract interpretation, amendments, renewals, disputes, and post-execution contractual questions.
  • Provide legal support on routine corporate matters and appropriately identify and elevate matters requiring specialized legal expertise.
  • Partner with Human Resources on employment-related legal matters, including employment agreements, restrictive covenants, separation agreements, employee relations matters, employment policies, and compliance questions, as needed.
  • Provide general guidance on intellectual property, privacy, data security, and other legal matters affecting Coreforce’s technology products and operations, coordinating with specialized counsel when appropriate.
  • Coordinate with and manage outside counsel on complex or specialized legal matters, including communicating business needs, monitoring scope, timelines, budgets, and deliverables.
  • Review outside counsel invoices, monitor legal spend, and help ensure external legal services are provided efficiently, timely, and cost-effectively.
  • Maintain appropriate corporate legal records and documentation and support the development and improvement of practical legal processes.
  • Perform other related duties and provide legal support as assigned based on business needs.
  • Juris Doctor (J.D.) from an accredited law school.
  • Active membership in good standing with the State Bar of Georgia and eligibility to practice law in Georgia courts.
  • Five (5) or more years of relevant legal experience, including experience practicing within a law firm environment.
  • Strong knowledge of contract law and demonstrated experience drafting, reviewing, and negotiating commercial agreements.
  • Experience representing, advising, or working with software, SaaS, technology, or technology-enabled companies required.
  • Knowledge of software licensing, technology agreements, intellectual property, data privacy, information security and related commercial terms preferred.
  • Government contracting experience required.
  • Working knowledge of employment law and experience advising on HR-related legal matters preferred.
  • Ability to identify, assess, and clearly communicate legal and contractual risk and provide practical, business-oriented recommendations.
  • Strong legal research, analytical, drafting, negotiation, and problem-solving skills.
  • Sound judgment and ability to recognize when matters require specialized legal expertise or outside counsel.
  • Ability to independently manage multiple matters and priorities in a fast-paced environment while maintaining accuracy, responsiveness, and attention to detail.
  • Strong interpersonal and communication skills with the ability to collaborate effectively with business leaders and cross-functional teams.
  • Ability to exercise discretion and maintain confidentiality when handling sensitive business, legal, and employee information.
