Jobbeschreibung

Burshteyn Polin LLP is expanding its curated corporate practice and seeking a corporate and transactional attorney to join us on a flexible contract basis.

Our practice and philosophy

We advise a highly curated group of innovative companies, founders, investors, and funds. Our clients include AI, enterprise technology, and consumer startups, and we work closely with them on the legal and business decisions that shape their companies: raising capital, taking on debt, licensing technology, negotiating commercial relationships, managing governance, and navigating compliance.

Our team includes former founders who have raised venture capital, built companies, and negotiated and closed transactions themselves. We bring that founder perspective to our legal work: understand what the client is building, appreciate the constraints on time and capital, and give practical advice that helps clients make decisions and move their businesses forward. We act as fractional general counsel for many of our clients, managing their entire legal roadmap.

We believe small teams of excellent lawyers can do exceptional work when they know their clients well and take responsibility for the outcome. We value close partner collaboration, mentorship, and advice that advances the client's goals. We also build and use technology, including AI, to improve the quality and efficiency of our work and pass those benefits on to clients. Careful judgment and accountability remain central to how we practice.

This role is for a lawyer who wants to become a trusted part of a client's team, understand what they are building, and help them get there. You will work directly with partners and clients on transactions and ongoing fractional general counsel assignments.

The work

Depending on your experience and the assignment, you may:

  • Represent companies and investors in financings, including SAFEs, convertible notes, seed and later-stage priced equity rounds, growth equity investments, and bridge financings.
  • Handle venture debt and other loan transactions, including financing documents, security arrangements, and closing coordination.
  • Support securities crowdfunding, including Regulation Crowdfunding offerings, related disclosures, and coordination with funding platforms.
  • Prepare or oversee SEC Form D filings and amendments, state blue-sky notices, and other applicable securities filings; assist with offering exemptions, investor qualification, disclosure materials, and Form C filings for Regulation Crowdfunding offerings.
  • Work on private- and public-company M&A, including mergers, stock and asset acquisitions, diligence, transaction agreements, disclosure schedules, corporate approvals, and closings.
  • Draft and negotiate technology and IP licenses, SaaS agreements, services agreements, and other commercial contracts.
  • Advise on company formation, corporate governance, board and stockholder matters, founder arrangements, capitalization tables, equity incentive plans, and option and restricted-stock issuances.
  • Support crypto and digital-asset transactions, including token launches, token purchase agreements, token warrants, and related commercial arrangements, with specialist input where appropriate.
  • Help manage clients' ongoing legal needs, including contract negotiations, compliance questions, and coordination with specialists where needed.
  • Translate legal analysis into practical recommendations that account for a client's stage, resources, priorities, and appetite for risk.
What we are looking for
  • A practical, commercially minded approach, an understanding of founders and their businesses, and the judgment to help clients weigh tradeoffs, make decisions, and get transactions done.
  • Strong drafting and negotiation skills and the ability to take responsibility for an agreement or transaction with appropriate partner involvement.
  • Intellectual curiosity and an interest in how innovative businesses actually work.
  • Clear communication, careful attention to detail, and reliable follow-through with clients and colleagues.
  • Interest in using technology thoughtfully to improve legal work while protecting confidentiality and exercising independent judgment.
  • Active bar membership in good standing, with admission appropriate to the work and location.
  • Experience with crypto and digital-asset transactions, particularly token launches, is preferred.
  • Prior emerging companies and venture capital (ECVC) experience is essential, ideally at a major law firm with a strong ECVC practice. We are looking for lawyers who have represented startups and investors in venture financings and ongoing corporate matters.

We welcome both associates with substantive transactional experience and experienced counsel interested in a flexible practice.

Bonus
Fintech and regulatory compliance

Fintech or regulatory compliance experience is a plus. We also welcome strong transactional lawyers who are interested in developing in these areas and willing to take on related work with appropriate support. Prior experience in fintech or regulatory compliance is not required.

Engagement

This is a remote hourly contract role, expected to involve approximately 10-15 hours per week. Compensation is $80-$125 per hour, depending on experience. Assignments will reflect client needs, your experience, and your availability.
