Cytokinetics, Inc. is seeking an experienced Director, Counsel, Corporate Securities & Governance to oversee SEC compliance, governance and strategic financial matters in a biotech environment.

You will partner with Finance, IR, and executive leadership to ensure accurate disclosures and strong governance practices. Based in South San Francisco, the role reports to the SVP, Deputy General Counsel and Corporate Secretary and will coordinate with a broad set of stakeholders on capital markets

Qualifications

• J.D. from an accredited law school and active U.S. bar membership.
• 8+ years of corporate securities experience, preferably with public company exposure.
• Experience at a leading law firm or in-house in biotech or life sciences.
• Deep knowledge of U.S. securities laws, SEC reporting, and governance.

Responsibilities

• Prepare SEC filings (Forms 10-K, 10-Q, 8-K) and proxy statements.
• Advise on disclosure controls, earnings releases, investor communications.
• Support capital markets transactions, including equity and debt offerings.
• Advise on corporate governance matters, Board support, and charter documents.
• Collaborate with Finance, Accounting, IR, HR and external counsel on disclosures.
• Monitor SEC developments and governance best practices for timely guidance.
• Assist with insider trading compliance and equity compensation matters.
• Contribute to ESG disclosures and related governance initiatives.

Cytokinetics is a specialty cardiovascular biopharmaceutical company, building on its over 25 years of pioneering scientific innovations in muscle biology, and advancing a pipeline of potential new medicines for patients suffering from diseases of cardiac muscle dysfunction.

Cytokinetics is seeking an experienced Director, Counsel, Corporate Securities & Governance Counsel to support public company SEC compliance, corporate governance, Board of Directors administration and strategic financial transactions. This role will serve as a key legal partner to Finance, Investor Relations, and Executive Leadership, ensuring compliance with U.S. securities laws and supporting capital markets activities. This position will report to the SVP, Deputy General Counsel and Corporate Secretary.

Key Responsibilities

• Prepare SEC filings, including Exchange Act reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filings
• Advise on disclosure controls and procedures, earnings releases, investor presentations, and investor communications
• Support capital markets transactions, including equity offerings, debt financings, and other programs
• Advise on corporate governance matters, including Board and committee support, charter documents, and corporate policies
• Partner closely with Finance, Accounting, Investor Relations, HR, and external counsel to ensure accurate and timely disclosures
• Monitor and advise on developments in securities law, SEC rules, and governance best practices
• Support insider trading compliance, equity compensation matters, and Rule 10b5-1 plans
• Assist with ESG disclosures and related governance initiatives, as applicable

Qualifications

• J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction
• 8+ years of relevant Corporate Securities experience, including public company securities work
• Experience at a leading law firm and/or in-house at a publicly traded company; life sciences or biotech experience strongly preferred
• Deep knowledge of U.S. securities laws, SEC reporting requirements, and corporate governance
• Experience supporting capital markets transactions and interacting with senior executives and boards
• Strong drafting, analytical, and communication skills
• Ability to manage multiple priorities with a high degree of accuracy and judgment

Pay Range: The expected salary range for this position based on the primary location of South San Francisco, CA is $259,200-$302,400. The base pay offered will take into account internal equity and may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors. Base salary is just one component of our competitive total compensation package, which includes equity in the form of stock options and/or restricted stock units, comprehensive health, dental, vision, life and disability insurance coverage, 401k retirement benefits with employer match, learning and wellness stipends, and paid time off.
