Job summary

MSC Industrial Supply Co. is seeking a Director, Assistant General Counsel to serve as a generalist legal advisor and manager of the department. The role supports corporate governance, SEC compliance, and entity management, reporting to the Senior Vice President, General Counsel & Corporate Secretary.

The successful candidate will oversee a small team, advise on complex agreements, and coordinate with external counsel while ensuring regulatory and governance standards are met.

Qualifications

• JD from an accredited law school and active bar admission in any jurisdiction.
• Minimum 10 years of combined experience in a law firm and corporate legal department.
• Strong communication skills, detail orientation, and multitasking ability.
• Proficiency with Microsoft Office and Adobe Acrobat; ability to interpret complex documents.
• Time management and follow-up skills; experience with securities-related oversight is a plus.

Responsibilities

• Negotiate and advise on complex commercial agreements, including customer and vendor contracts.
• Counsel on regulatory compliance, disputes, and contract compliance.
• Protect IP assets, including trademarks and patents; monitor regulatory developments.
• Collaborate with cross-functional teams to develop risk-balanced legal solutions.
• Coordinate with external counsel and supervise front-line staff in the legal group.
• Advise on corporate governance matters and support board operations.
