Job summary

5 Legal, an Am Law top 50 firm, is seeking an associate to join our Debt Finance practice in Denver. The ideal candidate has 1–3 years of finance experience at a comparable law firm and a strong academic record.

Candidates should have experience in secured transactions for borrowers or lenders, knowledge of syndicated financing, venture-backed financing, acquisition financing, and convertible or high-yield bond offerings; familiarity with drafting documents and closing transactions is preferred.

Qualifications

• 1–3 years of finance experience at a comparable law firm
• Knowledge of Article 9 of the UCC and secured transactions
• Experience in closing transactions and drafting transaction documents
• Strong academic achievement from a nationally recognized law school

Responsibilities

• Represent borrowers and/or lenders in secured transactions
• Draft and finalize documents for financial transactions
• Assist with closing of financing transactions

The ideal candidate must have 1-3 years of finance experience at a comparable law firm.

Ideal candidates will have experience in:

• Secured transactions representing borrowers and/or lenders


• A working knowledge of syndicated financing transactions, financing transactions for venture-backed companies, acquisition financing transactions, and convertible or high yield bond offerings


• Experience in closing transactions


• Familiarity with drafting documents in connection with financial transactions.

Knowledge of Article 9 of the Uniform Commercial Code, secured transactions, debt securities offerings, and general corporate law are also preferred. All candidates must have a JD or the equivalent and have demonstrated high academic achievement from a nationally recognized law school, have the ability to work on multiple projects simultaneously and have a high level of attention to detail.
