Job summary

CorMedix Inc. in Parsippany, NJ is seeking a Counsel / Senior Counsel to provide strategic legal counsel on commercial contracting and related business matters. You will partner cross-functionally to support growth while ensuring compliance and risk management.

You will draft, negotiate and manage a high volume of agreements, develop templates and playbooks, and drive contract lifecycle improvements in a hybrid work environment (2 days on site).

Qualifications

• JD from an accredited law school with strong academic record.
• Bar admission in New Jersey or ability to register as in-house counsel in NJ.
• Minimum of 5 years of legal experience, including at least 3 years at a top law firm and 2+ years in-house in pharma/biotech.
• Proven success drafting and negotiating a broad range of complex commercial agreements.
• Deep understanding of the life sciences industry.
• Experience with advertising and promotional review welcomed.
• R&D, clinical or labeling experience preferred; AI governance a plus.
• Excellent business judgment and communication in a fast-paced environment.

Responsibilities

• Draft, negotiate, and manage a broad range and high volume of commercial agreements, including GMP manufacturing & supply, MSAs/SOWs, and related terms.
• Serve as a legal partner to business stakeholders across the contracting lifecycle, identifying risks and proposing solutions.
• Manage the contracting process and provide direction to paraprofessionals.
• Own and improve contract lifecycle processes, templates, playbooks, approvals, and reporting.
• Develop and maintain standard contract templates, fallback positions, and guidance.
• Collaborate with manufacturing, supply, clinical, quality, regulatory, finance, IT, and other stakeholders.
• Provide training on contracting requirements and legal risk to business teams.
• Support other legal priorities such as advertising review, privacy, AI governance as needed.

(Nasdaq: CRMD), to lead the search for a Counsel / Senior Counsel to work in its Parsippany, NJ headquarters (Hybrid – 2 days on site). About the Role

Reporting to the VP, Assistant General Counsel, the Counsel / Senior Counsel will serve as a key legal advisor with respect to the company’s contracting activities, with primary responsibility for drafting, negotiating, and advising on a high volume of a variety of commercial agreements. This is an opportunity to play a key role in a high-growth environment and partner cross functionally within the company.

Key Responsibilities

• Draft, negotiate, and manage a broad range and high volume of commercial agreements, including manufacturing & supply (GMP), vendor and services agreements (MSAs/SOWs), supply chain/logistics, real estate, distribution, specialty pharmacy, quality and pharmacovigilance agreements and in- and out-licensing.
• Serve as a legal partner to business stakeholders throughout the contracting lifecycle, identifying legal and commercial risks, proposing workable solutions and escalating material issues to the VP, Assistant General Counsel when appropriate.
• Manage the company’s contracting process and provide functional direction to paraprofessionals, including setting priorities, allocating work and reviewing work product.
• Own and improve contract lifecycle management processes, including contract intake, templates, playbooks, approval workflows, execution procedures, repository practices and reporting metrics.
• Develop and maintain standard contract templates, fallback positions and guidance that promote consistency, compliance and efficient negotiations.
• Collaborate with manufacturing and supply, clinical, quality, regulatory, compliance, finance, information technology and other stakeholders on cross-functional matters.
• Provide training and practical guidance to business teams regarding contracting requirements and legal risk.
• Support additional legal department priorities based on business needs and the attorney’s experience, which may include advertising and promotional review, clinical operations, labeling, privacy or AI governance.

• Experience with advertising and promotional review is welcomed.
• R&D, clinical, and/or labeling experience is preferred. Experience with AI governance is a plus.
• Excellent business judgment, communication, and the ability to thrive in a fast-paced, evolving environment.

Compensation

• The Counsel or Senior Counsel designation will be determined based on the candidate’s level of experience.
• The final salary will be based on several factors, including, but not limited to, a candidate’s qualifications, training, skills, competencies, and experience.
