Title and Summary

Counsel

The Global Business Solutions Center (GBSC) is the shared services organization for Mastercard. GBSC partners with the Law and Franchise Integrity team to build a legal shared services function. The Counsel, Contract Services sits within the GBSC Legal Services team, primarily located in the MasterCard Technology Operations headquarters in St. Louis, MO, with additional regional hubs to support scale and agility. This role manages end‑to‑end contract services, delivering positive customer experiences and efficient business results.

Responsibilities
  • Perform end‑to‑end contract preparation and execution processes for an assigned portfolio of transactions, from receipt of contract requests through contract signature.
  • Receive contract requests and conduct triage to ensure adherence to established business policies, processes, and procedures.
  • Review, draft, and negotiate routine vendor and commercial contracts, including confidentiality/non‑disclosure agreements, software license agreements, related support service agreements, consulting services agreements, and other agreements commonly used in the financial and information technology service sectors.
  • Ensure that all agreements are prepared, revised, and executed in consultation with the business unit client and other subject matter experts, and in accordance with approved policies and playbooks.
  • Analyze contract requirements, special provisions, terms, and conditions to ensure compliance with applicable laws, regulations, policies, and procedures.
  • Provide superior customer service in line with GBSC standards, maintaining quality, response time, resolution time, and adherence to Service Level Objectives.
Qualifications
  • Bachelor's degree combined with relevant experience required; JD or other advanced education is a plus.
  • Solid legal and business acumen with sound analytical and problem‑solving skills.
  • Demonstrated ability to manage workloads with tasks of varying priority and complexity.
  • Excellent communication and interpersonal skills, with an emphasis on collaborating with key legal and business stakeholders to negotiate and confirm contract terms.
  • Advanced negotiation skills.
  • Ability to recognize when to escape and when to exercise independent judgment and discretion in reviewing and negotiating contracts.
  • Demonstrated strength in a customer‑focused service orientation.
  • Knowledge of European, Middle East, Africa, Asia Pacific, Latin, or Caribbean legal systems and business practices is a plus.

Benefits and Compensation

In line with Mastercard's total compensation philosophy and assuming the job will be performed in the U.S., the successful candidate will be offered a competitive base salary and may be eligible for an annual bonus or commissions depending on the role. The base salary offered may vary based on location, job‑related knowledge, skills, and experience. Mastercard benefits for full‑time employees typically include insurance (medical, prescription drug, dental, vision, disability, life), a flexible spending account and health savings account, paid leaves (including 16 weeks of new parent leave and up to 20 days of bereavement leave), 80 hours of paid sick and safe time, 25 days of vacation time and 5 personal days (pro‑rated based on date of hire), 10 U.S. observed holidays, a 401(k) with a company match, deferred compensation for eligible roles, fitness reimbursement or on‑site fitness facilities, eligibility for tuition reimbursement, and more. Interns receive benefits such as 56 hours of paid sick and safe time, jury duty leave, and on‑site fitness facilities in some locations.
