Job summary

Gibson Dunn is seeking a Corporate Paralegal in Dallas to provide comprehensive legal and administrative support for corporate transactions. You will draft and manage corporate documents, conduct due diligence, coordinate filings, leverage AI tools, and assist with closings and post-closing requirements.

This role reports to the Manager of Paralegal Services. The position requires on-site work four days a week and involves coordinating with teams across offices and managing deadlines for

Qualifications

  • Bachelor’s Degree required.
  • Paralegal certificate from an ABA-approved program preferred.
  • Notary preferred.

Responsibilities

  • Prepare and update working group lists.
  • Coordinate due diligence searches and summarize results.
  • Leverage AI tools to prepare diligence matrices for typical corporate documents.
  • Prepare shell disclosure schedules for sell-side and buy-side transactions.
  • Draft and file corporate documents and capitalization tables.
  • Coordinate closings and notarization/aPostillization of documents.
  • Maintain company records notebooks and post-closing deadlines.
