An established Raleigh law firm is hiring a Corporate Paralegal to work alongside its transactional attorneys. The work spans buy and sell side deals, emerging company and venture financings, securities compliance, intellectual property, and matters for clients in regulated industries.
Job Duties
- Draft, revise, and format transactional documents, correspondence, memoranda, and reports on deadline
- Strong research skills with the ability to analyze and interpret licensing requirements, corporate regulations, and transactional documents
- Provides general corporate governance support, such as maintaining signing authorizations, providing secretary certificates and know-your-client documentation, forming and organizing new legal entities, and due diligence and closing support for mergers and acquisitions.
- Create closing checklist and working group list; draft signature pages and assist with preparation of agreements, schedules and exhibits.
- Review and draft agreements and consents related to limited partnerships, limited liability companies and corporations.
Requirements
- five years of paralegal experience in corporate or transactional work. Strong candidates with less will be considered.
- Paralegal certificate or a degree in paralegal studies is a plus.
- Comfortable with entity structures, multistate filings, and compliance requirements
- Track record preparing formation documents, applications, and diligence materials
- Works independently and carries a project through from start to finish
- Experience with Office 365.
- Communicates clearly with attorneys, clients, and outside parties
Compensation and Benefits
- $95,000 to $110,000 base, depending on experience
