Job summary

Responsibilities

  • Maintain capitalization platforms; assist with equity issuances and transfers.
  • Support equity incentive plan administration and securities compliance research.
  • Coordinate document authentication domestically and internationally.
  • Assist with drafting charter amendments and maintaining company records.
  • Help manage client data rooms and due diligence checklists.
  • Maintain consents and resolutions in electronic filing systems.
  • Conduct lien searches and assist with UCC financing statements.

O’Melveny is actively seeking a Corporate Paralegal. This role can be based out of our Silicon Valley office.

The salary range for this role is $95,000 - $125,000 and represents the firm’s good faith minimum and maximum range for this role at the time of posting. The actual compensation offered to a candidate will be dependent on a variety of factors including, but not limited to, the candidate’s experience, qualifications, and location.

Essential Duties And Responsibilities
  • Assist with preparing and organizing documents at various stages of corporate transactions, including formations, preferred stock and debt financings, equity transfers, mergers and acquisitions, entity structure conversions, and corporate dissolutions, under the guidance of senior team members.
  • Support the transaction lifecycle by helping track corporate approvals, signatures, and deal deliverables, and assist with organizing transaction documentation and the closing process.
  • Assist with preparing and filing incorporation documents, state qualifications, IP assignment agreements, and restricted stock purchase agreements, including related 83(b) elections.
  • Support the maintenance and updating of capitalization platforms, including assisting with equity issuances, transfers, repricings, stock splits, and conversions.
  • Assist with equity incentive plan administration and related federal and state securities and tax compliance efforts (e.g., Rule 701, Cal. Section 25102(o)), including supporting Blue Sky securities compliance research and helping prepare related filings.
  • Support the analysis of voting requirements, protective provisions, anti-dilution and preemptive rights, information rights, and side letters in connection with corporate transactions.
  • Communicate with clients and equityholders on routine corporate and transaction-related matters under attorney or senior paralegal supervision.
  • Assist with preparing and maintaining company data rooms and due diligence checklists for corporate transactions.
  • Help maintain equityholder and board/member consents and resolutions as part of corporate minute books and company records in electronic filing systems.
  • Assist with conducting lien and litigation searches at the federal, state, and local levels.
  • Help prepare and file UCC financing statements, including related exhibits.
  • Support the coordination of document authentication for use domestically and abroad, including for Hague Convention and non-Hague Convention nations.
  • Assist with preparing and filing charter amendment documents for corporations, limited liability companies, and partnerships.
  • Help manage and organize client audit response materials.
Knowledge, Skills And Experience
  • Minimum 3 years of progressive responsibility in managing corporate transactions in a large law firm or professional services environment, with law firm experience strongly preferred
  • Four-year degree or equivalent required
  • Paralegal certification required
  • Familiarity with UCC financing statements, filing components by jurisdiction, procedures, and lien searches
  • High level of proficiency with technology including DocuSign, Microsoft Office Suite applications, Adobe Acrobat, and other Corporate records filing and transaction databases, and other internet research tools
  • Excellent organizational skills, attention to detail, and the ability to multi-task
