Job summary

Ashurst Perkins Coie US LLP is seeking a Senior Corporate Paralegal to support a broad range of corporate and transactional matters within the Corporate and Securities practice group.

You will assist lawyers and clients with high-level duties, maintain confidential records, and oversee corporate maintenance for many clients across industries, while delivering exceptional client service.

Qualifications

  • 7–10 years of experience as a corporate paralegal with public and privately held companies.
  • Four-year degree in a related field or equivalent.
  • Proficiency with Section 16 filing platforms, including EDGAR, hCue, and Workiva, as well as capitalization-management platforms such as Carta and Shareworks.
  • Exceptional organizational, analytical, and communication skills, with the ability to build effective relationships, exercise sound judgment, maintain discretion, and work independently.
  • Demonstrated knowledge of California and Delaware corporate law, federal and state securities laws, and Rule 701 analysis.
  • Advanced technical skills in Microsoft Office, including Excel, Adobe Acrobat, document proofreading, redlining, comparison, and accurate timekeeping.

Job Description
Senior Corporate Paralegal

At Ashurst Perkins Coie US LLP, our people are our greatest asset. We’re looking for a collaborative, detail-oriented Senior Corporate Paralegal to join our Corporate and Securities practice group and help deliver an exceptional client experience.

In this role, you will, under minimal supervision, assist lawyers and clients with a variety of high-level corporate and transactional paralegal duties. You will also maintain positive contact with clients, observe confidentiality, and oversee corporate maintenance for a large number of clients across many industries.

What You’ll Do
  • Support public and private company securities compliance matters, including beneficial ownership tables, EDGAR Next management for individual filers, Section 16 and Schedule 13 reporting, and Rule 13H filings.
  • Prepare, file, and maintain corporate governance and entity-formation documents for corporations, LLCs, LPs, and LLPs, including ownership records, state and federal filings, amendments, dissolutions, and withdrawals.
  • Conduct UCC, corporate, and statutory diligence; prepare UCC financing statements, corporate certifications, and closing documents; and manage closings for financings, mergers, and acquisitions.
  • Maintain confidential client records and electronic data sites; coordinate with lawyers, clients, vendors, and paralegal teams to manage requests, workloads, regulatory filings, and high-quality client service.

The listed compensation range reflects the typical pay for this role, though it is rare for new hires to receive an offer at the top of the range. Actual compensation may vary depending on experience, skills, market conditions, and internal equity.

Washington State compensation range: $70,930 to $141,860 annually

Illinois compensation range: $70,970 to $141,930 annually

Colorado compensation range: $67,240 to $134,480 annually

San Francisco Bay Area compensation range: $85,830 to $171,650 annually

Los Angeles compensation range: $78,310 to $156,610 annually

Oregon compensation range: $68,090 to $136,190 annually
