Job summary

McDermott Will & Schulte is seeking corporate associates with 4–6 years of Private Equity and M&A experience to join its sophisticated private equity M&A practice. This role is open to candidates in New York, Boston, Miami, Chicago, and Dallas.

You will take meaningful ownership of transaction workstreams from deal inception through closing and deliver exceptional client service. Qualified applicants will have a JD, superb drafting and negotiation skills, and must be barred where they practice.

Qualifications

• JD from an accredited law school with strong academic credentials.
• 4-6 years of Private Equity and M&A experience, preferably with a focus on private equity transactions within a large or similarly sophisticated law firm environment.
• Demonstrated ability to run substantial components of transactions from early deal stages through closing.
• Excellent drafting, negotiation, and communication skills, including comfort interacting directly with clients and internal deal teams.
• Must be barred in the jurisdiction where you will practice.

Responsibilities

• Draft, review, and negotiate principal transaction documents and coordinate input across deal teams.
• Manage and execute due diligence, identifying issues and red flags; translate findings into documents and planning.
• Provide post-closing support for portfolio company matters such as add-ons and financings.
• Drive and organize deal execution and closings under aggressive timelines.
• Collaborate with specialists and manage cross-functional workflows to keep matters moving on schedule.
• Supervise and mentor junior team members, delegating tasks and providing feedback.
