Job summary

Placements24 is seeking a diligent Corporate Legal Officer to join our client in Welkom, Free State. The role focuses on governance, regulatory compliance, maintaining statutory registers, and supporting the company secretary and senior management.

You will prepare board agendas and minutes, liaise with external advisors, and assist in incorporations, dissolutions, and regulatory filings, using strong legal research and drafting skills.

Qualifications

• Requires a relevant legal qualification (LLB or equivalent) and admission as an Attorney or corporate governance qualification.
• Minimum of 4 years of experience in corporate law, governance, or a similar role.
• Strong knowledge of the Companies Act and King IV recommendations.
• Excellent organizational and administrative skills.
• Proficiency in legal research and drafting of corporate documents.

Responsibilities

• Manage and maintain statutory registers (directors, shareholders).
• Prepare agendas, minutes, and supporting documents for board/committee meetings.
• Ensure compliance with the Companies Act and relevant corporate legislation.
• Assist with incorporation and registration of new entities and dissolution of existing ones.
• Liaise with external legal advisors and regulatory bodies as needed.
• Provide general legal support to the company secretary and senior management.
