Job summary

FIS is seeking an Corporate & External Affairs Analyst Principal to support the Chief Legal Officer and senior legal executives with board operations, governance, and subsidiary management. The role focuses on confidential, high‑level board and regulatory tasks across major corporate entities.

Key duties include preparing board materials, drafting resolutions, coordinating meetings, and ensuring privacy and compliance across regulated entities. Some travel to NYC and Jacksonville is required.

Qualifications

  • Bachelor's degree or equivalent; paralegal and/or ICSA preferred.
  • 8+ years in legal/regulatory environment supporting governance/board matters.
  • Willingness to travel to Jacksonville and New York City for board meetings.

Responsibilities

  • Prepare, distribute and organize board materials via portals (e.g., Boardvantage).
  • Draft agendas, notices, resolutions, and secretary certificates.
  • Coordinate logistics for Annual Stockholder and Board meetings.
  • Project manage deliverables for quarterly Board meetings.
  • Coordinate scheduling, travel, meeting space and onboarding for directors.
  • Serve as primary contact for directors’ needs.

About the role:

As an Corporate & External Affairs Analyst Principal, you will provide confidential administrative support to the Chief Legal Officer, Corporate Secretary, Public Company Board, the Regulated Entity teams, and other senior management legal executives, with a focus on public company board operations, regulated entity board operations and corporate records and subsidiary management.

What you will be doing:
Board & Committee Support
  • Prepare, distribute, and organize board and committee meeting materials via board portals such as Boardvantage.
  • Draft meeting agendas, board notices, resolutions, and secretary certificates.
  • Coordinate logistics and materials for Annual Stockholder and Board meetings.
  • Serve as project manager for deliverables for each quarterly Board meeting.
  • Coordinate all scheduling including internal and external meetings, hotel reservations, meeting space, event planning, air travel, ground transportation, etc. for Board meetings and director orientation/onboarding (when needed).
  • Serve as a primary point of contact point for all directors' needs.
Global Regulated Entity Corporate Governance & Support
  • Provide ongoing oversight and support for governance and entity compliance matters across all regulated corporate subsidiaries, including formations, annual reports, and entity compliance.
  • Coordinate and assist with the implementation of the Regulated Entity Global Corporate Governance Framework across the organization, which includes a consistent across all Regulated Entities in the following areas:
  • Prepare, distribute, and organize board and committee meeting materials via board portals such as Boardvantage.
  • Draft meeting agendas, board notices, resolutions, and secretary certificates.
  • Coordinate logistics and materials for regulated entity Board meetings.
  • Project manage deliverables for each quarterly Board meeting.
  • Coordinate all scheduling including internal and external meetings, hotel reservations, meeting space, event planning, air travel, ground transportation, etc. for Board meetings and director orientation/onboarding (when needed).
Additional Duties
  • Liaise with corporate governance, regulatory legal, risk, compliance, internal audit and business owners involved with each Regulated Entity to ensure seamless governance workflows.
  • Handle apostille, notary and Docusign requests.
  • Maintain high levels of confidentiality with respect to sensitive and complex projects with contacts inside and outside the company.
  • Edit typed material for grammar, punctuation, clarity and sentence structure.
Required Qualifications:
  • Bachelor's degree or equivalent combination of education, training, or work experience (paralegal and/or ICSA certification preferred).
  • 8 or more years of work experience in a legal or regulatory environment supporting public company governance, board and SEC matters.
  • Board meetings are held twice a year in Jacksonville and twice a year in New York City. Must be able to travel to assist during board meetings.
  • Advanced skills in Microsoft Office, board portal tools (such as Boardvantage), Workiva, SEC filing systems and legal software applications
  • Strong attention to detail, organizational skills and excellent project management skills.
  • Knowledge of legal and/or regulatory research techniques and tools, including Harvey and PLC
  • Ability to write legal/regulatory documents, summaries and other correspondence
  • Excellent verbal and written communication skills, including the ability to compose memos and correspondence from brief verbal instructions
  • Ability to maintain confidentiality and carry out assignments that are sensitive in nature
  • Effective time management skills
  • A sense of curiosity and a desire for incremental improvement
