Iambic Therapeutics, based in San Diego, seeks a Corporate Counsel, Commercial to draft and negotiate broad commercial agreements integral to our research, clinical, and operations activities.

You will lead the CLM implementation (Ironclad preferred), manage outside counsel, and advise on risk terms and regulatory compliance. This hands-on role emphasizes AI-enabled drafting and data extraction within a fast-paced biotech environment.

Qualificações

• J.D. and active membership in good standing of a U.S. state bar.
• 5+ years of commercial contracting experience at a law firm and/or in-house in biotech/pharma/CRO; in-house preferred.
• Proven experience negotiating CRO, clinical and SaaS agreements.
• Hands-on experience implementing or administering a CLM platform (Ironclad preferred).
• Working knowledge of healthcare compliance and data privacy laws in clinical contracting.
• Strong drafting and negotiation skills with ability to manage high volume in lean teams.

Responsabilidades

• Draft and negotiate a broad range of commercial agreements, including MSAs/SOWs, CDAs, consulting, MTAs, sponsored research, software/SaaS, data, and vendor agreements.
• Lead clinical contracting: CRO agreements and work orders, clinical trial agreements with U.S. and ex-U.S. sites, and clinical vendor agreements, partnering with Clinical Operations on study timelines.
• Advise on risk terms (indemnity, liability caps, IP, confidentiality, publication, data protection) and compliance requirements (anti-kickback/anti-bribery, fair market value, transparency reporting, GDPR/HIPAA).
• Lead the implementation and administration of our CLM platform (Ironclad preferred), including workflows, templates, clause library, and legacy migration.
• Build templates, playbooks, and self-service tools, coordinating with IP counsel on IP provisions.
• Use AI tools to accelerate drafting, review, and data extraction, consistent with company policies.
• Manage outside counsel on commercial matters and train internal teams on contracting processes.

JOB SUMMARY

Iambic is hiring a Corporate Counsel, Commercial to serve as our primary commercial contracts attorney. Reporting to the General Counsel, you will draft and negotiate the agreements that drive our research, clinical, and operational activities, and lead the implementation of our contract lifecycle management (CLM) platform. We’re looking for a hands-on, business-minded attorney who leverages AI tools to work efficiently. This role is based at our San Diego Headquarters; we are seeking candidates who currently live in the San Diego area.

RESPONSIBILITIES

• Draft and negotiate a broad range of commercial agreements, including MSAs/SOWs, CDAs, consulting, MTAs, sponsored research, software/SaaS, data, and vendor agreements.
• Lead clinical contracting: CRO agreements and work orders, clinical trial agreements with U.S. and ex-U.S. sites, and clinical vendor agreements, partnering with Clinical Operations on study timelines.
• Advise on key risk terms (indemnity, liability caps, IP, confidentiality, publication, data protection) and on compliance requirements such as anti-kickback/anti-bribery, fair market value, transparency reporting, and GDPR/HIPAA.
• Lead the implementation and administration of our CLM platform (experience with Ironclad preferred), including workflows, approval matrices, templates, clause library, and legacy contract migration.
• Build templates, playbooks, and self-service tools, coordinating with IP counsel on IP provisions.
• Use AI tools to accelerate drafting, review, and contract data extraction, consistent with Iambic’s AI-use and confidentiality policies.
• Manage outside counsel on commercial matters and train internal teams on contracting processes.

QUALIFICATIONS

• J.D. and active membership in good standing of a U.S. state bar.
• 5+ years of commercial contracting experience at a law firm and/or in-house at a biotech, pharma, or CRO; in-house experience strongly preferred.
• Proven experience independently negotiating CRO, clinical and SaaS agreements.
• Hands-on experience implementing or administering a CLM platform; Ironclad strongly preferred.
• Working knowledge of healthcare compliance and data privacy laws as applied to clinical contracting.
• Practical, risk-balanced judgment; excellent drafting and negotiation skills; ability to manage high volume in a lean team.
