Verdantas LLC is seeking a Corporate Counsel, Mergers, Acquisitions & Enterprise Risk to join our corporate legal team and support a growing environmental, energy, water, and engineering services firm.

The role will advise on mergers, acquisitions, integrations, and enterprise risk, collaborating with senior leaders and external counsel to drive effective outcomes while sustaining our people-first culture.

Qualifications

• Graduate from an accredited law school and admitted to practice in one or more U.S. states.
• 8–10 years of experience practicing law, preferably with mergers and acquisitions, corporate transactions, integration, enterprise risk management, complex claims, or commercial matters.
• Experience coordinating complex, cross-functional projects and working with executive leadership, outside counsel, insurers, and other external advisors.

Responsibilities

• Lead cross-enterprise due diligence and support mergers, acquisitions, and strategic transactions from diligence through closing.
• Coordinate post-acquisition integrations with Operations, Finance, Human Resources, Information Technology, and other business leaders.
• Partner with executive leadership to develop and administer Enterprise Risk Management program, including reporting to the Board.
• Support due diligence for private equity, lender, and advisor transactions and manage related materials.
• Assist in management of significant claims and disputes with internal teams and outside counsel.

CORPORATE COUNSEL, MERGERS, ACQUISITIONS & ENTERPRISE RISK

Verdantas is seeking an energetic and diligent Corporate Counsel, Mergers, Acquisitions & Enterprise Risk to join our corporate legal team and support a growing consulting firm focused on environmental, energy, water, and engineering services. This position will serve as a strategic legal and business partner supporting mergers and acquisitions, acquisition integrations, enterprise risk management, complex claims and disputes, and corporate development initiatives. The position is eligible for remote or in-office work.

RESPONSIBILITIES

• Lead with empathy, strong communication, and a people-focused approach to achieve successful results across the enterprise.
• Support and shape the company’s people-focused culture by promoting inclusivity, diversity, collaboration, and teamwork.
• Support mergers, acquisitions, and other strategic transactions from due diligence through closing, including coordinating cross-functional diligence, identifying legal and business risks, and assisting with transaction execution and post-closing obligations.
• Lead and coordinate post-acquisition integration efforts in partnership with Operations, Finance, Human Resources, Information Technology, and other business leaders, including tracking milestones, risks, dependencies, and key action items.
• Partner with the Chief Legal & Sustainability Officer to develop and administer the company’s Enterprise Risk Management program, including risk identification, assessment, mitigation planning, monitoring, and executive and Board reporting support.
• Support private equity, lender, and advisor due diligence associated with recapitalizations, financing transactions, and other corporate initiatives, including coordinating diligence requests and transaction materials.
• Support the management of significant professional liability, commercial, contractual, employment, and other complex claims and disputes, including internal fact gathering, documentation, insurance coordination, outside counsel management, and resolution strategy.
• Identify trends and lessons learned from claims, transactions, and enterprise risks and help develop practical mitigation measures, policies, and business processes.
• Review and support negotiation of complex, high-risk, or escalated contracts as needed, in coordination with the Corporate Counsel responsible for contract operations and oversight.
• Provide legal and risk guidance on strategic corporate initiatives, significant client matters, organizational changes, and cross-functional projects.
• Build and maintain effective working relationships with internal clients, including Project Managers, senior company leaders, and other stakeholders, as well as external counsel, insurers, advisors, and transaction partners.
• Collaborate across the legal team and provide support outside assigned primary areas when business needs require.
• Travel for meetings tied to transactions, trainings, or other business needs on an as-needed basis.

QUALIFICATIONS

• Graduate from an accredited law school and currently admitted to practice in one or more U.S. states.
• Between 8 and 10 years of experience practicing law, preferably with experience in mergers and acquisitions, corporate transactions, integration, enterprise risk management, complex claims, or commercial matters.
• Experience coordinating complex, cross-functional projects and working with executive leadership, outside counsel, insurers, and other external advisors.
• Ability to prioritize multiple assignments involving a wide variety of technical and business disciplines under tight deadlines for internal stakeholders.
• Excellent oral and written communication skills and the ability to effectively interact at all levels within the organization and with external parties.
• Experience working in engineering, environmental consulting, construction, professional services, or a private equity-backed organization is preferred.

Salary Range: minimum salary is 160k
