Qualifications

  • J.D. from an accredited law school and active bar membership.
  • 7+ years of contracts negotiation experience.
  • Ability to manage multiple priorities and work across the company.
  • Strong knowledge of contract law and commercial transactions.
  • Experience with technology and IT agreements, equipment and tooling, aviation, and logistics is a plus.
  • Excellent written and verbal communication skills.
  • Strong analytical and critical thinking abilities.

Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements including procurement, vendor, customer, supply, distribution, and sales documents.
  • Advise business teams on contract interpretation, risk allocation, and legal implications.
  • Review and redline third-party agreements against templates and guidelines.
  • Coordinate cross-functional approvals and ensure compliance with delegation of authority.
  • Manage contract lifecycle activities, expirations, renewals, and related correspondence.
  • Draft and negotiate contract modifications and statements of work.
  • Identify improvements to templates, playbooks, and legal processes.
  • Support development of standard contract terms and conduct legal research as needed.
  • Perform other duties as assigned.

Job description

The Corporate Counselis responsible for reviewing, drafting, negotiating, and managing contracts across a wide range of commercial categories, including indirect services such as technology and IT agreements, equipment and tooling, aviation, and logistics, as well as sales-related agreements, distribution arrangements, and other commercial contracts supporting both the buy-side and sell-side of the business. The contracts may involve the purchase of products and services such as supplies, software, SaaS, materials, equipment, and other items. This role will handle work for the procurement teams, the sales teams, and other commercial contracting needs across the business.

The Corporate Counsel is a member of the Law Department who supports the business by providing legal guidance on commercial transactions and contract negotiations. This role serves as a key point of contact between internal business teams and senior legal counsel, ensuring contracts are negotiated, drafted, and executed in accordance with company standards and applicable law.

This position will serve Rheem North America, located in Atlanta, GA (Hybrid). This role follows our hybrid work arrangement, with team members working in the office Monday through Thursday and remotely on Fridays.

Responsibilities
  • Receive intake requests from procurement managers, sales teams, and other business units; assess contract needs and provide initial legal guidance.
  • Draft, review, and negotiate a wide range of commercial agreements, including procurement contracts, vendor agreements, customer contracts, supply agreements, distribution agreements, and sales-related documents.
  • Advise business teams on contract interpretation, risk allocation, and legal implications of contractual provisions.
  • Review and redline third-party agreements against company templates and negotiation guidelines (where available), ensuring compliance with company policies and applicable laws and regulations.
  • Coordinate cross-functional approvals with subject matter experts and ensure compliance with the company’s delegation of authority policies.
  • Manage contract lifecycle activities, including tracking authorizations, expirations, renewals, and related correspondence within the contract lifecycle management system.
  • Draft and negotiate contract modifications, amendments, and statements of work.
  • Identify potential improvements to existing contract templates, playbooks, and legal processes.
  • Conduct special projects as assigned, including supporting development of standard contract terms and assisting with legal research as needed.
  • Perform other duties and projects as assigned.
Qualifications
  • J.D. from an accredited law school and active bar membership in good standing.
  • 7+ years of contracts negotiation experience at a law firm or in-house legal department.
  • Ability to work in a dynamic environment that requires managing multiple priorities, exercising sound legal judgment, and working effectively across all areas of the company.
  • Strong knowledge of contract law, commercial transactions, and general corporate legal principles.
  • Contract negotiation experience, preferably in-house, across a broad range of commercial agreements. Experience with technology and IT agreements, equipment and tooling, aviation, and logistics is a plus.
  • Excellent written and verbal communication skills.
  • Strong analytical and critical thinking abilities.
  • Strong presentation skills.
  • Ability to collaborate effectively with all levels of management.
  • Proficiency with legal technology tools, including contract lifecycle management systems, Microsoft Office, and legal research platforms.
