Qualifications

• J.D. from an accredited law school.
• Active membership in good standing with New York bar.
• 2+ years of experience in capital markets or securities law at a top-tier firm or in-house.
• In-depth understanding of SEC regulations, FINRA rules, and stock exchange requirements.
• Proven track record with public and private offerings, SEC filings, and disclosure matters.

Responsibilities

• Advise issuers and underwriters on capital markets transactions, including IPOs, follow-on offerings, registered direct offerings, shelf registrations, SPACs, PIPEs, and private placements.
• Draft and review registration statements, prospectuses, private placement memoranda, underwriting agreements, warrant and subscription agreements, and related disclosure documents.
• Prepare and manage SEC filings under the Securities Act of 1933 and Securities Exchange Act of 1934, including Forms S-1, S-3, 10-K, 10-Q, 8-K, and proxy statements.
• Counsel public companies on ongoing reporting obligations, corporate governance, insider trading policies, and compliance with stock exchange listing standards.

• Draft and review registration statements, prospectuses, private placement memoranda, underwriting agreements, warrant and subscription agreements, and related disclosure documents.
• Prepare and manage SEC filings under the Securities Act of 1933 and Securities Exchange Act of 1934, including Forms S-1, S-3, 10-K, 10-Q, 8-K, and proxy statements.

Salary and Other Compensation:

The annual salary for this position is between $150,000 – $300,000. Factors which may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
