Beacon Hill, a respected Chicago-based law firm, is seeking a Corporate Associate Attorney to join its growing transactional practice. This role focuses on sophisticated corporate work, M&A, private equity, and governance, with a long-term platform for growth.

The ideal candidate will have 4+ years of corporate transactional experience and will draft and negotiate purchase agreements, operating agreements, and related corporate documents.

Qualifications

• 4+ years of corporate transactional experience.
• Experience drafting and negotiating corporate and commercial agreements.
• Knowledge of operating agreements, shareholder agreements, and buy/sell agreements may be advantageous.

Responsibilities

• Represent clients in M&A and private equity transactions, drafting and negotiating purchase agreements and related documents.
• Advise on corporate formation and structuring, including operating and shareholder agreements.
• Provide guidance on corporate governance matters and general corporate compliance.
• Draft and review a broad range of corporate agreements and commercial contracts.
