Job summary

Just Legal Search is partnering with a premier mid-size AM 200 law firm to recruit a mid-level Corporate Associate in Boston. The successful candidate will handle a broad range of sophisticated transactional matters on lean deal teams and benefit from clear career progression.

This role offers a hybrid working model with two remote days per week, providing flexibility while maintaining strong collaboration with partners and clients.

Qualifications

  • J.D. and admission in good standing in the jurisdiction where you plan to practice.
  • 2–8 years of corporate transactional experience with a focus on mergers & acquisitions.
  • Experience handling both buy-side and sell-side M&A transactions.
  • Experience across a variety of corporate matters, including private equity, venture financings, joint ventures, and capital markets.
  • Strong drafting and negotiation skills, including experience with key transaction documents (e.g., asset purchase agreements, stock purchase agreements, merger agreements, operating agreements, disclosure schedules).
  • Proven ability to manage complex transactions with attention to detail and efficiency.
  • Excellent writing, research, communication, and client service skills.
  • Ability to work both independently and collaboratively within a team-oriented environment.

Responsibilities

  • Manage all phases of the deal lifecycle, from term sheet through closing.
  • Lead and support M&A transactions, including due diligence, structuring, negotiation, and execution.
  • Draft, review, and negotiate a wide range of corporate transaction documents.
  • Advise clients on corporate governance and general corporate matters.
  • Collaborate closely with partners and clients on sophisticated transactional matters.
  • Coordinate with cross-functional teams to ensure seamless deal execution.
  • Contribute to a collaborative and high-performing team environment.
