Job summary

BCG Attorney Search is seeking a Corporate Associate to join its Emerging Business & Venture Capital Group in Philadelphia, PA. The ideal candidate will have 2-5 years of experience working with startups and emerging growth companies, handling a variety of corporate matters.

You will help with formations and financings, manage venture and PE transactions, and advise on securities compliance, joint ventures, M&A, employment, consulting, and equity compensation.

Qualifications

• JD degree required and active bar admission.
• 2-5 years of corporate/venture experience preferred.
• Experience with venture-backed startups or venture capital a plus.

Responsibilities

• Assist with company formations and financings, including convertible notes and SAFEs.
• Manage venture capital and private equity transactions.
• Ensure compliance with federal securities and state blue sky laws.
• Facilitate joint ventures, spin-offs, and mergers and acquisitions.
