Job summary

Hawkstone Search in Manhattan, NY seeks a Corporate Securities Associate (5+ years) to join a partner-led team advising public and private companies on sophisticated securities, governance and capital markets matters. Responsibilities

• Advise public and private companies on Securities Act and Exchange Act compliance.
• Prepare and review SEC filings (Form 10-K, 10-Q, 8-K, proxy statements, registrations, Section 16).
• Advise on corporate governance, board and committee matters, shareholder issues and ongoing compliance.
• Support capital markets transactions, securities offerings and due diligence.
• Manage multiple matters independently with direct client exposure.
• Work with a key institutional client alongside broader securities matters.

Base salary: $180,000-$220,000 (flexibility up to $300,000+ for exceptional candidates)

About the practice:

I'm partnering with a highly regarded New York law firm that is continuing to invest in the growth of its Corporate & Securities practice. This is a rare opportunity to join a partner-led team advising public and private companies on sophisticated securities, governance and capital markets matters, while working closely with one of the firm's key institutional clients.

Working alongside two experienced Corporate & Securities partners, with regular exposure to the Chair of the practice, you'll take on responsibility from day one. It's an ideal opportunity for an attorney looking to continue handling sophisticated public company work while gaining greater autonomy, direct client exposure and a clear path for progression.

What you'll do:

• Advise public and private companies on Securities Act and Exchange Act compliance
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements and Section 16 filings
• Advise on corporate governance, board and committee matters, shareholder issues and ongoing public company compliance
• Support capital markets transactions, securities offerings and related due diligence
• Manage multiple matters independently while acting as a trusted adviser to clients
• Work primarily with a key institutional client, alongside broader securities matters across the firm's client base

What they're looking for:

• J.D. and admission to practise in New York
• 5+ years' corporate securities experience in private practice and/or in-house
• Strong SEC reporting experience, including periodic and current reports, proxy statements, registration statements and Section 16 filings
• Solid understanding of corporate governance and public company compliance
• Excellent drafting, client-facing and matter management skills
