Job description

A leading national law firm is seeking a Corporate Associate to join its established corporate and transactional practice in Atlanta.

This is an excellent opportunity for a junior-to-mid-level corporate attorney looking to develop broader transactional experience while working on sophisticated domestic and cross-border matters.

The successful attorney will work closely with experienced corporate lawyers on buy-side and sell-side M&A transactions, corporate governance matters and general business transactions, while assuming increasing responsibility for drafting, due diligence and transaction management.

The Role

The attorney will advise clients across matters including:

• Buy-side and sell-side mergers and acquisitions.
• Domestic and cross-border transactions.
• General corporate and commercial matters.
• Corporate governance.
• Drafting and negotiating transaction documents.
• Purchase and sale agreements.
• Ancillary transaction documentation.
• Entity formation and restructuring.
• Shareholder and operating agreements.
• Preparing corporate resolutions and governance documentation.
• Coordinating transaction signing and closing processes.
• Working directly with clients, opposing counsel and other professional advisers.
• Supporting companies on ongoing corporate matters.

The Candidate

Candidates should have:

• 2-3 years of post-JD corporate transactional experience.
• Meaningful exposure to mergers and acquisitions.
• Experience drafting sophisticated transactional agreements.
• Exposure to cross-border transactions would be particularly valuable.
• Excellent legal drafting and analytical ability.
• Strong academic credentials.
• Excellent organisational skills and attention to detail.
• Sound commercial judgment.
• Ability to manage multiple transactions and deadlines.
• A JD from an accredited US law school.
• Active Georgia Bar admission is required.

German language skills would be advantageous given the team's growing cross-border practice, but are not required.
