Job description

We are working with a major, international law firm to find exceptional International Conflicts Attorneys with at least two years of experience (2+ yrs.), and preferably more. The client is building out its conflicts attorney team to encompass professionals at different levels; the client will determine the level and title within its conflicts structure appropriate to any particular candidate.

All conflicts roles offered by the client require the identification, review, analysis, and reconciliation of all conflicts of interest relating to incoming legal personnel on a firm-wide basis. They also involve advising the firm on the identification and reconciliation of potential and actual conflicts of interest related to new clients and matters opening in all firm offices and jurisdictions. Successful candidates will have significant in-depth experience tracing private equity interests, private investment fund interests, and corporate transactions involvements to their sources. Attorneys hired will also have expertise dealing with all conflicts issues attendant upon mergers and acquisitions. Conflicts Attorneys hired by the firm will be responsible for the creation and maintenance of firm conflict waivers. They will also review client outside counsel guidelines for firm compliance, and they will report to the firm’s Director of Conflict Services, Associate General Counsel, and General Counsel.

The conflicts positions offered by the client may be remote nationally (or in-office in Chicago, Boston, New York, DC, Charlotte, Boca Raton, New Orleans, or Los Angeles) but, even for remote workers, they may require periodic physical presence in a firm office as business needs require. The anticipated compensation range for these positions is $150,000 - $240,000, depending upon experience. The actual salary and role title offered any given successful candidate will be based upon a number of factors, including, but not limited to, the applicant’s years of relevant experience, educational level, certifications or other professional licenses, and if applicable, the location in which the applicant lives and/or from which the applicant would be performing the job. RESPONSIBILITIES
  • Assist in the identification, resolution, and clearance of potential and actual conflicts of interest as they relate to new hires of lateral legal personnel and, also, firm new business.
  • Consult with the Director of Conflict Services and the General Counsel’s Office, as necessary, to facilitate clearance and approval regarding all potential and actual conflicts of interest.
  • Follow up with appropriate lawyers and/or firm personnel, as required, to perform any and all of the above functions, including, but not limited to, obtaining conflicts clearances, waivers, outside counsel guidelines, and engagement letters.
  • Generate and maintain conflict waivers in furtherance of conflict resolution for use at all levels of the firm.
  • Review client outside counsel guidelines and assist with the firm’s compliance with them, as necessary.
  • Assist in the implementation of ethical walls, as necessary.
  • Assist in the training of new Conflicts Analysts and Conflicts Coordinators concerning the Model Rules of Professional Conduct.
  • Perform other duties as assigned.
QUALIFICATIONS
  • JD from an accredited institution is required.
  • Good standing admission to a state bar is required.
  • At least two (2) years (2+ yrs.) of demonstrated legal conflicts of interest researching, identification, and resolution experience in the Conflicts Department of a major law firm or financial institution is required.
  • Exceptional working knowledge of the Model Rules of Professional Conduct across firm jurisdictions is required.
  • Demonstrated ability to analyze and reconcile potential and actual conflicts of interest in a major law firm is required.
  • Specific expertise tracing private equity interests, private investment fund interests, and corporate transactions involvements to their sources
  • Specific expertise dealing with all conflicts issues attendant upon mergers and acquisitions
  • Excellent critical thinking and problem-solving skills are required.
  • Demonstrated ability to initiate, follow through, and complete time sensitive projects with minimal supervision in a fast-paced global law firm environment is required.
  • Demonstrated excellent oral and written business communication skills necessary to interact with partners, counsel, associates, and other firm personnel across the firm’s international offices are required.
  • Attention to detail and strong analytical and organizational skills are required.
  • Experience analyzing conflicts for complex transactional matters in relation to lateral partners and other legal personnel candidates is strongly preferred.
