Job summary

Per Scholas is seeking a Part-Time Commercial Transactions Attorney to handle government contracts and related commercial agreements on a 20-hour weekly schedule. This role reports to the SVP, Legal & Compliance and offers a competitive hourly rate in a mission-driven environment.

The ideal candidate will have a JD, active bar status, 5+ years in government contracts and commercial work, and a track record of drafting, negotiating, and advising on complex regulatory matters.

Qualifications

  • JD from an accredited law school.
  • Active bar admission in any U.S. jurisdiction.
  • 5+ years of government contracts and commercial transactions experience.
  • In-house counsel or nonprofit/government sector experience preferred.

Responsibilities

  • Draft, review, and negotiate complex government and commercial contracts.
  • Advise stakeholders on regulatory risk and flow-down clauses.
  • Develop and improve contract templates and procedures.
  • Collaborate with Program, IT, and Fiscal teams to ensure compliance.
  • Manage multiple priorities under deadlines.
  • Support SVP and handle risk management.

POSITION: Part-Time Commercial Transactions Attorney

LOCATION: United States, EST Preferred

REPORTS TO: SVP, Legal & Compliance

HOURLY RATE: $55-$65/hourly

SCHEDULE: Monday–Friday, 20 hours/week (4 fixed hours daily during core business hours; exact schedule to be agreed upon)

The Part-Time Contracts Attorney will support the legal department in managing a wide range of contractual matters across the organization, with a specialized focus on service oriented government contracts and grants. The ideal candidate will be an agile legal counsel with the ability to rapidly master complex agreements and bring strong legal experience, particularly in drafting and negotiating within government-regulated settings.

Key Responsibilities
Contract Drafting & Review:
  • Draft, review, and negotiate complex agreements, including government contracts, commercial leases, service agreements, MOUs, data sharing agreements and other commercial contracts.
  • Ensure all contracts align with organizational policies, risk tolerance, and strategic goals.
  • Identify legal and regulatory risks and develop practical mitigation strategies
  • Contribute to the development and review of internal contract templates, policy documents, and contract management procedures.
  • Work in close collaboration with teams across the organization on multidisciplinary and cross-departmental projects and initiatives.
  • Advise internal stakeholders on legal risks, flow-down clauses, and compliance obligations associated with government contracts.
  • Conduct comprehensive research and analysis on diverse substantive and procedural issues.
  • Collaborate with internal teams (Program, IT, Fiscal) to integrate contract compliance into core processes.
  • Support other legal or compliance-related projects assigned by the SVP
Qualifications
Education & Licensure
  • Juris Doctor (JD) from an accredited law school.
  • Active bar admission in any U.S. jurisdiction, in good standing.
Professional Experience
  • Minimum of 5 years of relevant experience across Government service contracts as well as general commercial transactions, as in-house counsel, or in government.
  • Specific expertise and demonstrated experience in government contracts and procurement.
  • Extensive demonstrable experience in contract drafting and negotiation.
  • Experience supporting in-house legal functions or advising nonprofit, education, or government-sector clients is highly preferred.

  • Excellent working knowledge of Google Workspace, Adobe, and the MS Office Suite.

Holidays & PTO: Full-TimePer Scholas team members enjoy over 40 days of paid time off each year through a mix of holidays, vacation, and sick/personal time!
