Qualifications

• J.D. or LL.B. from an accredited law school; active U.S. state bar membership required or eligible for in-house NY registration.
• 8+ years at a top-tier law firm or in-house at a tech company.
• Experience negotiating complex software or SaaS transactions.
• Background in financial services, fintech, blockchain, cybersecurity, or crypto preferred.
• Proficiency in managing competing priorities in a high-pressure environment.
• Experience using AI tools to create efficiencies within legal workstreams.

Responsibilities

• Draft and negotiate large commercial contracts including MSAs, SaaS agreements, SOWs, and NDAs with global financial institutions.
• Own the full review cycle from drafting and negotiation through closure.
• Structure and negotiate risk allocation and regulatory compliance provisions tailored to each transaction.
• Use AI tools to streamline complex reviews; refine legal templates and processes.
• Create sales training and enablement materials.
• Identify potential risks and recommend mitigants for escalation to senior leadership.
• Partner with procurement on high-risk vendor contract reviews.
• Advise stakeholders on legal risks, business strategies, and regulatory issues related to commercial transactions.

Key Eligibility Criteria

• J.D. or LL.B. from an accredited law school
