Job summary

Beale Infrastructure Group seeks an experienced Commercial Counsel to lead the commercial and infrastructure legal function for its data center development pipeline. You will guide cross-functional teams through large, long-cycle transactions, manage risk across the supply chain, and build scalable processes.

You will operate as a strategic partner with real estate, energy, construction, and technology teams, negotiating complex agreements and advising senior leadership on commercial strategy

Qualifications

  • 8–10+ years of relevant legal experience with a J.D.
  • Familiarity with data center development and/or digital infrastructure projects is strongly preferred
  • Substantial real estate development experience including land acquisition, disposition, purchases, leases, easements, title and survey review, and entitlements for large-scale or greenfield development
  • In-house legal experience strongly preferred with ability to partner with business teams
  • Experience negotiating commercial agreements and serving as a primary point of contact for business stakeholders
  • Experience working with and managing outside counsel effectively and efficiently
  • Experience in a private equity-backed company or dynamic environment is a plus
  • Strong business acumen and trusted advisor capability in high-growth settings
  • Willingness to operate both strategically and tactically in a lean legal team
  • Excellent written and verbal communication and negotiation skills
  • High ownership, accountability, sound judgment, and professionalism
  • Collaborative, low ego, team-oriented approach with initiative and curiosity

Responsibilities

  • Draft, structure, and negotiate complex, high-value leases with hyperscale cloud providers and enterprise tenants
  • Lead legal work on site acquisition and disposition for greenfield and brownfield data center campuses
  • Negotiate development agreements, incentive agreements, community benefit agreements, and master vendor agreements with Development teams
  • Support energy services agreements, PPAs, RECs, and utility interconnection agreements for large power loads
  • Coordinate with internal and external counsel on zoning, entitlements, environmental impact assessments, permits, and incentives
  • Design and implement contract playbooks and risk-tolerant templates across regions

Position Overview

We are looking for a business-minded Commercial Counsel to lead our commercial and infrastructure legal function. In this role, you will be the legal anchor behind our data center development pipeline and hyperscale commercial leasing engines.

Youaren'tjust an evaluator of legal risk; you are a strategic partner who understands how real estate, energy, construction, and technology intersect. You will guide our Commercial and Delivery teams through massive, long-cycle transactions, manage risk across our supply chain, and build scalable processes.

Key Qualifications
  • 8–10+ years of relevant legal experience, with a J.D. from a top-tier law school
  • Familiarity with data center development and/or digital infrastructure projects is strongly preferred
  • Substantial real estate development experience, including land acquisition and disposition, purchase and sale agreements, leases, easements, title and survey review, and entitlement/zoning matters for large-scale or greenfield development projects
  • In-house legal experience is strongly preferred, with a demonstrated ability to partner effectively with business teams
  • Experience negotiating commercial agreements and serving as a primary point of contact for business stakeholders

Role Responsibilities
  • Hyperscale Leasing: Draft, structure, and negotiate complex, high-value leaseswith global hyperscale cloud providers and enterprise tenants.
  • Real Estate & Land Development: Lead legal work on site acquisition and disposition for greenfield and brownfield data center campuses, including purchase and sale agreements, easements, access and utility rights-of-way, title and survey review, and pre-development due diligence.
  • Partnerwith the Development teams to negotiatedevelopment agreements, incentive agreements, community benefitagreementsand master vendor agreements.
  • Energy & Utilities Procurement: Support theenergyteam innegotiating energy services agreements,power purchase agreements (PPAs), renewable energy credits (RECs), and utility interconnection agreements necessary to secure massive, sustainable power loads.
  • Regulatory & Compliance Collaboration: Coordinate with internaland externalreal estate, environmental,complianceand tax counsel regarding zoning, entitlements, environmental impact assessments, land use permits, development agreements, and economic incentives, drawing on hands-on real estate development experience to anticipate and resolve site-level issues early.
  • Process Scaling & Playbooks: Design and implement contract playbooks and fallback positions specifically tailored to standardize risk tolerances across regions.

Location : Seattle, WA (3+ days/week in office)

Total Compensation Range: $250,000 - $285,000 (+ annual performance bonus)
