Job description

Beacon Hill is seeking a Commercial Contracts Attorney for a fully remote opportunity. This role is ideal for an attorney with experience reviewing, drafting, and negotiating a broad range of commercial agreements, particularly SaaS, technology, and other complex business contracts. Candidates may come from either an in-house legal department or a law firm environment and should be comfortable working independently in a fast-paced business setting.

Key Responsibilities:

• Review, draft, and negotiate a variety of commercial agreements, including SaaS agreements, software licensing agreements, subscription agreements, professional services agreements, statements of work, vendor contracts, NDAs, and other technology-related contracts
• Partner with business stakeholders, sales teams, procurement, and external parties to structure, negotiate, and finalize agreements while balancing legal and commercial objectives
• Identify, assess, and mitigate contractual risks related to data privacy, intellectual property, security, indemnification, liability, and compliance matters
• Provide practical, business-focused legal advice regarding contract interpretation, negotiations, and risk management
• Support contract lifecycle management processes and maintain consistency across contractual templates and workflows
• Manage multiple transactions simultaneously while meeting deadlines and maintaining a high level of accuracy and responsiveness
• Collaborate cross-functionally with legal, finance, operations, and technology teams to support business objectives

Qualifications:

• Juris Doctor (JD) from an accredited law school and active bar admission in at least one U.S. jurisdiction
• Approximately 4-8 years of experience negotiating and drafting commercial contracts
• Strong experience with SaaS agreements and other technology-related contracts is required
• Experience gained in either a law firm or in-house legal department
• Familiarity with software licensing, cloud services, technology transactions, data privacy provisions, and intellectual property considerations
• Excellent contract drafting, negotiation, and analytical skills
• Ability to work independently in a remote environment while managing a high volume of agreements
• Strong communication and stakeholder management skills with a practical, business-oriented approach to legal counseling
• Experience supporting technology companies, software providers, or enterprise commercial contracting functions is highly preferred
