Job summary

First Eagle Investment Management in New York seeks an Associate General Counsel to support Napier Park’s CLO platform. You will work with investment professionals, portfolio teams, operations, finance, and external counsel on all CLO-related transactions.

The role requires a JD and 4–8 years of CLO/structured finance experience, with strong drafting, negotiation, and advisory capabilities. In-house exposure and a broad regulatory remit are included, along with a collaborative work environment.

Qualifications

• Undergraduate and JD degrees, and license to practice law required.
• 4 to 8 years of relevant legal experience.
• Significant experience representing CLO managers, arrangers, underwriters, issuers, or other market participants in CLO transactions.
• Strong familiarity with CLO documentation and structures, structured finance and securitization transactions, leveraged loans and credit markets.

Responsibilities

• Serve as a key legal team member on CLO management and investment transactions, including new issue CLOs, resets/refinancings, warehouse financings, risk retention and regulatory-related transactions.
• Coordinate transaction negotiation and execution among internal stakeholders, outside counsel, arrangers, investors, issuers, underwriters, trustees, collateral administrators, rating agencies, and other transaction participants.
• Review and negotiate transaction documentation, including indentures, trust deeds, offering documents, collateral management agreements, warehouse agreements, subscription documents, engagement agreements, investor side letters, risk retention and retention financing agreements.
• Manage transaction timelines and closing processes from launch through closing.
• Advise investment professionals regarding CLO governing documents and transaction constraints.
