Job summary

Gould & Ratner LLP is seeking an Associate to join its Corporate Practice in Denver. The ideal candidate will have 3–6 years of experience in corporate transactional law, including EC/VC transactions, with strong familiarity with VC forms, convertible debt, SAFEs, and preferred equity issuances.

The role involves direct client interaction and significant responsibility on complex matters. Candidates should have experience drafting agreements, managing closings, and working with cap table tools;

Qualifications

• 3–6 years of experience practicing corporate transactional law
• Significant experience with National Venture Capital Association forms
• Familiarity with convertible debt, SAFEs, preferred equity issuances and related financing tools
• Experience drafting transactional agreements, closing management, and cap table tools (e.g., Carta)
• Experience with private funds, M&A in VC ecosystem, and general corporate/transactional work
• Understanding IP ownership, development, licensing, tax and employee matters in corporate matters
