Jobot is seeking a Capital Markets Attorney to join our corporate and securities team in a fully remote capacity. You will represent issuers, investment banks, and underwriters in public and private securities transactions across the U.S.

You should have a JD, active bar, 3+ years in capital markets or securities work, and experience with IPOs, registrations, and SEC disclosures. This role offers a competitive salary and comprehensive benefits.

Qualifications

• JD from an accredited law school.
• Active and in good standing state bar.
• 3+ years of capital markets or securities transactional experience, preferably at a law firm.
• Hands-on experience with registered offerings, private placements, and SEC disclosure requirements.
• Working knowledge of the Securities Act, Exchange Act, and national exchange listing standards.
• Strong drafting, negotiation, and transaction management skills.
• Ability to manage multiple deals at once in a fast-paced, deadline-driven environment.
• Self-motivated and comfortable working independently in a remote setting.

Responsabilités

• Advise underwriters and placement agents on IPOs, follow-on offerings, and other registered securities transactions
• Handle IPOs, direct listings, SPACs, PIPEs, registered direct offerings, ATM programs, and confidentially marketed public offerings
• Draft and review registration statements, prospectuses, and other offering documents
• Negotiate underwriting agreements, securities purchase agreements, sales agreements, and related transaction documents
• Coordinate legal due diligence, SEC filings, and communication among management teams, bankers, and auditors
• Advise on Nasdaq, NYSE, and NYSE American listing requirements, including uplistings from OTC Markets
• Counsel public companies on SEC reporting obligations, including Forms 10-K, 10-Q, and 8-K, and corporate governance matters
• Support convertible financings, reverse mergers, and cross-border listings for foreign issuers
