Job summary

BCG Attorney Search in Washington, D.C. is seeking an Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group. You will work on complex corporate transactions and provide counsel on securities law matters.

The role involves preparing Exchange Act filings, representing issuers and underwriters in offerings, and advising boards on governance and disclosure. This is a fast-paced environment with substantial client interaction.

Qualifications

• 3 to 4 years of securities and capital markets experience.
• Juris Doctor degree from an ABA-accredited law school.
• Bar admission or eligibility to obtain admission promptly in the jurisdiction of resident office location.

Responsibilities

• Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Represent issuers and underwriters in equity and debt offerings.
• Counsel public companies on disclosure obligations and corporate governance.
• Advise boards of directors and management on governance and disclosure issues.
• Support public company transactions, including mergers and acquisitions.
