An opportunity has arisen for a talented mid-level Capital Markets Associate to join an elite US firm in New York.

The successful candidate will join a collaborative team advising leading investment banks, public and private companies, institutional investors and other financial institutions on sophisticated domestic and cross-border capital markets transactions.

The Role

You will advise clients across a broad range of equity and debt capital markets transactions, including:

• Initial public offerings (IPOs), follow-on offerings and secondary offerings.
• SPAC IPOs, de-SPAC transactions and direct listings.
• Private placements, PIPEs and at-the-market (ATM) programmes.
• Securities offerings, underwriting arrangements and related documentation.
• SEC reporting, public company disclosure and corporate governance.
• Capital markets-related M&A, tender offers and other strategic transactions.

You will take ownership of key transaction workstreams, draft and negotiate complex documentation, coordinate deal execution and collaborate with colleagues across complementary practice areas. There will also be opportunities to contribute to client-facing thought leadership and regulatory developments.

The ideal candidate will have:

• Admission to the New York Bar, or eligibility for admission.
• Approximately 3+ years’ relevant transactional experience in private practice or in-house.
• Significant US equity capital markets experience, particularly across IPOs, follow-on offerings, de-SPAC transactions, PIPEs and ATM programmes.
• Strong drafting, analytical, negotiation and project-management skills.
• Familiarity with SEC reporting and disclosure requirements.
• Excellent communication skills, commercial awareness and a proactive, client-focused approach.
