An AmLaw 50 law firm in Washington, D.C./New York seeks a Capital Markets Associate Attorney to join its sophisticated practice and advise issuers, underwriters, investors, and public companies on a broad range of securities matters and cross-border offerings.

The candidate will work in a team-driven environment with strong drafting and analytical expectations, focusing on high-profile transactions across industries. Competitive compensation and comprehensive benefits are offered.

Competenze

JD from a top-tier law school with an excellent academic record.
Active Bar Admission in the applicable jurisdiction, in good standing, or eligible to waive in.
2–3 years of substantive Securities Act 1933 and Exchange Act 1934 experience and governance matters.
Experience representing issuers, underwriters, agents, and financial institutions in public/private offerings.
Experience advising public companies on SEC reporting, disclosure, governance, and listing requirements.
Familiarity with IPOs, follow-on offerings, private placements, Rule 144A, investment-grade and high-yield debt, and convertibles.
Interest in sophisticated, high-profile cross-industry transactions.
Demonstrated ability to thrive in a collaborative team environment.

Mansioni

Advise issuers, underwriters, and investors on equity capital markets transactions including IPOs and offerings.
Represent clients in debt capital markets transactions including investment-grade and high-yield debt and convertibles.
Counsel public companies on SEC reporting, disclosure, and governance obligations.
Advise boards on shareholder engagement, governance best practices, and listing requirements.
Assist international issuers, underwriters, and investors with U.S. capital markets access.
Represent REITs and real estate companies in formation, structuring, and capital-raising transactions.
Collaborate with corporate, finance, tax, and regulatory teams on complex cross-border transactions.
