Job summary

Josh Pros LLC is recruiting an associate for a Washington, DC–based Capital Markets practice with 1–3 years of experience in ’33 Act transactions, ’34 Act compliance, and governance matters. You will counsel issuers, underwriters, and financial institutions on public and private offerings, and advise on SEC reporting and governance.

The role is in-office in Washington, DC, with NYC as an additional location.

Qualifications

• 1-3 years of capital markets associate experience in ’33 Act transactional and ’34 Act compliance.
• Experience representing issuers, underwriters, agents, and financial institutions in equity and debt offerings.
• Experience advising public companies on 34 Act reporting, governance, and listing requirements.
• Admitted to the state bar in Washington, D.C.

Responsibilities

• Advise issuers, underwriters, and investors across IPOs, follow-on offerings, debt issuances, and convertible securities.
• Represent private companies in private placements and Rule 144A offerings.
• Counsel public companies on SEC reporting, governance, and board composition.
• Support Capital Markets Practice Group in Washington, DC office.

Representative Work

Your clients will range from emerging growth companies accessing the public markets for the first time to Fortune 500 companies, major financial institutions, and leading real estate sponsors.

You’ll advise issuers, underwriters, and investors across the full spectrum of capital markets transactions, including IPOs, follow‑on equity offerings, investment‑grade and high‑yield debt issuances, and convertible securities.

Represent private companies in capital‑raising transactions, including private placements and Rule 144A offerings.

Counsel public companies on SEC reporting and compliance obligations and corporate governance best practices, including board composition, shareholder engagement, and SEC disclosure.

You’ll be part of the Capital Markets Practice Group. In the Washington D.C. office this practice is made up of:

Associate Bonus Structure

• Associates can count unlimited pro‑bono and inclusion hours, and up to 100 pre‑approved hours for knowledge management and business development activities, toward their bonus eligibility.
• Additional high‑hour bonuses are available at 2,100, 2,300, and 2,500 hours, and merit incentives are awarded to associates whose performance exceeds expectations, enhancing transparency in annual evaluations.
• In 2025, the high‑hours awards added 10–40% to the base bonus amount, and merit incentives added 10% or 20% to both the base bonus and high‑hours awards. With these awards and incentives, our most senior associates were eligible for bonuses of up to $218,200, inclusive of special bonuses.
