Job summary

Primeline Solutions LLC is seeking a mid-level capital markets attorney to run deals with direct client contact and mentorship from a partner who has grown a book from $3M to $21M in six years. Hybrid in New York or Boston with sponsorship not available.

You will lead the full lifecycle of debt and equity offerings, draft and file registration statements, and provide SEC reporting guidance to clients and banks.

Qualifications

• 4–8 years of capital markets law experience at a law firm (required).
• Hands‑on experience with SEC reporting and public offerings.
• Eagerness to take on deal leadership and a clear path to partnership.

Responsibilities

• Draft and review registration statements, prospectuses, and offering documents for debt and equity deals.
• Prepare and file SEC periodic reports: 10-Ks, 10-Qs, 8-Ks, and proxy statements.
• Manage full due diligence processes for capital markets transactions.
• Advise mid-cap issuers and investment banks on corporate governance and SEC compliance.
• Run deals from kickoff to closing with autonomy and partner mentorship.

What You’ll Do

• Draft and review registration statements, prospectuses, and offering documents for debt and equity deals
• Prepare and file SEC periodic reports: 10-Ks, 10-Qs, 8-Ks, and proxy statements
• Manage full due diligence processes for capital markets transactions
• Advise mid-cap issuers and investment banks on corporate governance and SEC compliance
• Run deals from kick-off to closing with meaningful autonomy and direct partner mentorship

What We’re Looking For

• 4–8 years of capital markets law experience at a law firm (required)

• Candidates from Cravath-scale firms should note: base is intentionally below BigLaw scale; bonuses are competitive and the firm targets market bonus levels

IMPORTANT TO KNOW

Hybrid in NY or Boston (specific in-office days TBD). Bonus eligibility at 1,800 billable hours. Visa sponsorship not available.
