BCG Attorney Search is seeking a mid- to senior-level Capital Markets and Securities Attorney to join their Corporate Team in Southern California (Irvine). The ideal candidate will have 5–10 years of experience advising clients on securities compliance and capital markets transactions for both public and private company clients across diverse industries.

Qualifications

• JD degree from ABA-accredited law school.
• Strong knowledge of federal securities laws and SEC regulations.

Responsibilities

• Advise clients on capital markets transactions, including IPOs and private placements.
• Represent issuers, underwriters, and investors in equity and debt offerings.
• Assist public company clients with periodic reporting obligations under the Exchange Act of 1934.
• Draft and review registration statements, prospectuses, and related disclosure documents.
• Advise on securities law compliance and corporate governance matters.
• Support securities aspects of mergers and acquisitions and other strategic transactions.
• Draft and negotiate underwriting, purchase, and investor rights agreements.
• Coordinate due diligence and prepare disclosure materials.
• Collaborate with attorneys across corporate, tax, and other practice areas.
