This is an opportunity to work with a nationally recognized transactional tax team on sophisticated domestic and cross-border business transactions for public and private companies, private equity funds, investment banks, family offices, fund sponsors, nonprofit organizations, and other leading market participants.
Our Business Tax lawyers help clients structure transactions to achieve business objectives, manage tax exposure, and comply with evolving federal, state, and international tax laws. The group advises on the tax aspects of mergers and acquisitions, buyouts, restructurings, joint ventures, private equity transactions, tax credit investments, fund formations, financings, and inbound and outbound international investments.
The associate will work directly with partners whose practices span corporate, partnership, international, fund, nonprofit, and tax credit matters. The team regularly advises clients on taxable and tax-free mergers and acquisitions, cross-border acquisitions and financings, private investment fund formation and sponsor-level planning, GP stakes and secondary transactions, joint ventures, corporate reorganizations, partnership and LLC structuring, and transactions involving new markets, historic, low-income housing, and energy tax credits. The work is highly collaborative, fast-paced, and closely integrated with the firm’s corporate, private equity, finance, and investment funds practices.
The ideal candidate will have strong technical tax skills, excellent judgment, and the ability to manage multiple ongoing transactions in a demanding deal environment. Candidates should be comfortable analyzing complex tax issues, drafting and negotiating tax provisions, preparing tax memoranda, and collaborating across practice groups to deliver practical, business-oriented advice.
Excellent academic credentials are required, including an LL.M. in taxation. Strong writing, analytical, communication, and organizational skills are essential.
