Job description

Summary

Hexagon is a global leader in digital reality solutions, combining sensor, software, and autonomous technologies to help organizations improve productivity, quality, safety, and sustainability. Hexagon's Manufacturing Intelligence business area helps manufacturers use data throughout the product lifecycle—from design and engineering to production and metrology—to make manufacturing smarter, more efficient, and more connected.

Job Responsibilities

Hexagon Manufacturing Intelligence is seeking a Business Area Counsel – Americas to provide legal support to designated divisions within the Manufacturing Intelligence business area across a broad range of commercial and technology-related matters throughout the Americas and, as business needs require, other regions. Reporting to a senior member of the Manufacturing Intelligence legal team, this position serves as a trusted legal partner to business leaders and cross-functional teams, providing practical, commercially focused guidance on commercial sales, software, services, technology contracts, and risk management. The Business Area Counsel will independently manage a portfolio of commercial agreements and legal matters, applying sound legal judgment to identify risks, recommend practical solutions, and support business objectives. The role will also collaborate with senior legal team members and subject‑matter experts on complex, high‑risk, or non‑routine matters. This is a remote position within the United States, with travel of up to 10%.

What You’ll Do
  • Draft, review, and negotiate a broad range of commercial and technology‑related agreements, including terms of sale, software license agreements, SaaS and cloud agreements, channel partner agreements, supplier and vendor agreements, confidentiality and nondisclosure agreements, and professional services agreements.
  • Serve as a responsive, solutions‑oriented legal resource for contract‑related questions and commercial matters.
  • Independently manage assigned contracts and legal matters from initial review and negotiation through approval and execution.
  • Advise internal stakeholders on contractual rights, obligations, business implications, and legal and commercial risks, recommending practical solutions aligned with Hexagon policies and risk standards.
  • Identify and elevate complex, high‑risk, or non‑standard matters to senior attorneys as appropriate.
  • Partner with Sales, Procurement, Operations, Finance, and other business teams to provide timely legal guidance that supports commercial objectives.
  • Collaborate with legal and cross‑functional subject‑matter experts on intellectual property, cybersecurity, privacy, compliance, and other specialized legal matters.
  • Support business teams with customer and regulatory questionnaires, certifications, contractual representations, and related commercial documentation.
  • Monitor developments in contract, commercial, and technology law relevant to assigned responsibilities.
  • Contribute to improvements in contract templates, review processes, legal operations, and risk‑management practices.
  • Support special projects and legal initiatives in partnership with senior attorneys and other members of the legal team.
  • Develop and maintain effective working relationships with stakeholders across functions, business units, and geographic regions.
What We’re Looking For
  • Juris Doctor (JD) from an accredited U.S. law school.
  • Active membership and good standing with at least one U.S. state bar.
  • 3+ years of relevant legal experience, including at least 2 years of experience drafting, reviewing, and negotiating commercial and technology‑related contracts, gained in‑house, at a law firm, or through a combination of both.
  • Strong understanding of U.S. contract law and commercial contracting principles.
  • Experience with software licensing, SaaS/cloud agreements, or other technology‑related commercial transactions.
  • Demonstrated ability to independently manage a broad range of legal and contractual matters.
  • Ability to identify legal and business risks, evaluate options, and provide practical, commercially focused recommendations.
  • Strong drafting, negotiation, analytical, and written and verbal communication skills.
  • Strong interpersonal skills with the ability to collaborate effectively with Sales, Procurement, Operations, Finance, and other stakeholders.
  • Sound legal judgment, strong business acumen, and a solutions‑oriented approach to legal matters.
  • Ability to manage multiple priorities and deadlines with limited day‑to‑day supervision.
  • Proficiency with Microsoft 365 and comfort using contract‑management, electronic‑signature, AI contracting, and other legal technology tools.
  • Ability to travel up to 10%, as business needs require.
Preferred Qualifications
  • Experience with U.S. government contracting.
  • Experience drafting and negotiating channel partner agreements.
  • Proficiency in one or more languages in addition to English, particularly Spanish, Portuguese, Japanese, or Korean.
