• Bar admission in Utah or another state/jurisdiction in good standing.
• Experience at a law firm or asset management firm is a plus.

Responsibilities

• Draft and negotiate private fund documents, side letters and placement agreements.

Job description

We represent a global asset manager/fintech platform looking to hire a fund formation attorney with 4-8 years of experience.

The scope of this role will include representing private funds, both open end and closed end, on a wide spectrum of matters including compliance and U.S. and international regulatory issues, capital raising, marketing, investor relations, fund formation and structuring, and corporate transactional matters. The ideal candidate has strong regulatory experience (including Regulation D and the Investment Company Act of 1940) as well as experience in both drafting and negotiating private fund documents, side letters, placement agreements and related fund materials.

Qualifications

• 4+ years of fund formation experience within the Investment Management space
• Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations
• Member in good standing of Utah Bar, another state or jurisdiction
• Law firm or in-house experience at an asset management firm is a plus
