Distributed Sun (DSUN) is a clean energy infrastructure provider founded in 2009 that develops, finances, owns, and operates solar and battery storage projects across the community solar, commercial & industrial, and utility‑scale markets. Responsibilities
- Lead negotiations with customers, vendors, and partners to secure favorable terms and conditions for DSUN’s business agreements.
- Draft, review, and negotiate off‑take agreements, including PPAs, tolling agreements, and energy supply agreements.
- Provide legal support for financing agreements such as debt and tax equity financing, structuring and closing investments, partnership agreements, and security contracts.
- Lead legal due diligence, negotiation, and documentation for M&A transactions, strategic partnerships, and joint ventures.
- Oversee transaction closing processes for energy projects, ensuring timely completion of all required documentation.
- Advise on corporate structure, entity formation, and governance, and manage internal legal matters including HR, insurance, and compliance issues.
- Track legal and regulatory developments impacting renewable energy and advise internal teams on compliance and risk mitigation.
- Build and maintain relationships with stakeholders, partners, investors, and regulators, acting as a trusted advisor to senior management.
- Develop and lead an effective legal team, fostering a culture of excellence, collaboration, and continuous learning.
Requirements
- Juris Doctor degree from an accredited law school and active membership in good standing with the bar association.
- 8–10 years of experience practicing law, with a focus on corporate transactions, tax equity financing, and renewable energy projects preferred.
- Strong understanding of tax equity structures, M&A transactions, and contractual agreements in the renewable energy sector; knowledge of real estate agreements a plus.
- Experience managing outside counsel and allocating legal issues to external counsel for cost‑efficient, high‑quality advice.
- Excellent negotiation, communication, and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
- Demonstrated ability to manage complex legal matters, drive strategic initiatives, and provide practical solutions to business challenges.
- Leadership capabilities with a track record of building and leading high‑performing legal teams in a dynamic, fast‑paced environment.
Location
- Willingness to work flexibly: Tues/Weds at the Washington, DC HQ; Mon/Thurs/Fri from home is preferred, or remote. The team operates on Eastern Time hours.
