Job Overview & Responsibilities

The Associate General Counsel will be a transactional attorney who will have a strong background working with complex contracts and transactions in general and also have an area(s) of expertise such as complex commercial transactions, real estate, or technology transactions, data privacy, or information protection.

The Associate General Counsel will also be expected to advise clients, interpret laws, rulings and regulations, and analyze risk and probable outcomes based on legal precedents for a variety of organizations in the enterprise, as needed, including the government customer and commercial customer program and contract teams, supplier management, information technology and information security, engineering, production operations, launch operations, and facilities operations teams.

The Associate General Counsel will be expected to develop policies, practices, and guidelines concerning compliance with state, federal, and international laws and regulations related to information security and protection, and for negotiating, interpreting, and supporting relevant stakeholders in commercial transactions and contract negotiations.

Key Responsibilities
  • Advising ULA business teams on all facets of legal and compliance risk.
  • Drafting, reviewing, and negotiating a wide range of commercial agreements, including vendor contracts, licensing agreements, NDAs, service agreements, purchase agreements, leases, other real estate contracts, technology and data protection agreements, and software master services agreements.
  • Providing guidance on intellectual property, including data rights, licensing, patent and trademark, along with the ability to shape legal and business strategy for the protection of intellectual property.
  • Advising internal stakeholders on compliance with data privacy, cybersecurity, and information security laws and frameworks (e.g., GDPR, CCPA/CPRA, ISO 27001, NIST, CMMC).
  • Supporting handling of facilities matters, including leasing, capital construction, environmental, health and safety compliance and liability and risk management issues for manufacturing and launch operation activities.
  • Collaborating with business, security and compliance teams to ensure contractual terms align with technical and operational practices.
  • Preparing and implementing corporate policies.
  • Providing advice and counsel on relevant U.S. Government and international laws.
  • Advising on general corporate compliance, regulatory, statutory, and legislative affairs and communications as may affect assigned programs or the company at large.
  • Conducting legal research, preparing memoranda, completing presentations and advising in‑house clients on risk mitigation and other decision‑making requirements.
  • Effectively managing and supervising outside legal counsel; forming teaming arrangements with outside counsel to ensure effective representation and maximize outcomes.
Required Education

Bachelor

Required Years of Experience

Minimum of 10 years of related work experience

Basic Qualifications
  • Juris Doctorate degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Experience in transactional law, preferably in a corporate or commercial practice.
  • Ability to adapt and support new and complex legal matters in multiple legal disciplines.
  • Ability to be self‑motivated and proactively identify legal issues and provide advisement to business clients using a solution‑oriented approach.
  • Strong communication skills to interface and effectively communicate legal advice to internal clients and senior leadership with the ability to translate legal requirements into practical business guidance and explain legal concepts in plain language.
  • Ability to demonstrate leadership on key projects and provide direction to business and technical functional organizations.
  • Excellent judgment, attention to detail and discretion in handling sensitive and confidential information.
  • Ability to develop business‑oriented strategies and evaluate findings based on legal research that can be effectively communicated to business decision‑makers.
  • A collaborative mindset and the ability to work effectively with both legal and non‑legal stakeholders.
  • Strong understanding of contract law and experience with contract drafting and negotiating complex agreements.
Preferred Qualifications
  • Minimum of 5 years in‑house or corporate law department experience.
  • Previous legal experience in an in‑house counsel role.
  • Previous experience working in the aerospace and defense industry.
  • Working knowledge of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and related statutes.
  • Working knowledge of U.S. Government prime contracts and corresponding subcontracts.
  • Comfort working both independently and collaboratively in a fast‑paced environment.
  • Experience in data privacy, cybersecurity, or technology law, preferably in‑house or at a firm with a strong tech practice.
  • Understanding of global privacy regulations and security standards.
  • Admission to the Colorado Bar or the ability to obtain admission is preferred.
Salary Range (ULA - Denver only)

$165,592.00 - $275,986.00

Please note that the salary information shown above is a general guideline only. Salaries are based upon a candidate's experience and qualifications, as well as internal equity, market and business considerations. Employees may be eligible for a discretionary annual bonus in addition to base pay.
