Takanock, LLC is seeking an experienced Associate General Counsel with a strong construction background to join our Austin, TX team. You will manage a broad array of legal matters for construction projects, working closely with the GC and outside counsel as a trusted advisor to leadership in a fast-paced, entrepreneurial environment.

The role requires a JD, active bar membership, 5–7 years experience (10–15 preferred), and hands-on construction contract expertise to guide strategic initiatives

Qualifications

• J.D. from an accredited law school with active bar in good standing.
• Minimum 5–7 years of legal experience; 10–15 years preferred.
• Hands-on experience with construction contracts including EPC and BOP.
• Strong business judgment and ability to translate legal issues into actionable guidance.
• Excellent written and verbal communication; hands-on advisor in a fast-paced environment.

Responsibilities

• Lead negotiation of construction-related agreements for data center and generating facility developments, including EPC and BOP and change orders.
• Negotiate major equipment procurement and leasing arrangements.
• Support land acquisitions and dispositions, including purchase/sale agreements and easement/title reviews.
• Serve as the subject-matter expert for the construction team on related commercial agreements.

About the Associate General Counsel Role

We are seeking an experienced and business-minded Associate General Counsel with a strong construction background to join our Legal & Operations team in Austin, TX. If you are a dynamic attorney who thrives in a fast-paced, entrepreneurial environment and is excited about shaping the future of digital and energy infrastructure through serving as a trusted advisor to our team, this is your opportunity. In this role, you will work closely with our General Counsel and outside counsel to lead and manage a broad array of legal matters for our construction team and company leadership, supporting Takanock's growing pipeline of data center and power development projects.

• Juris Doctor (J.D.) degree from an accredited law school and active bar membership in good standing.
• A minimum of five to seven years of relevant legal experience (with the ideal candidate having ten to fifteen years' experience), including time at a major law firm and/or as in-house counsel.
• Strong business judgment and the ability to translate complex legal issues into practical, actionable
• guidance for company leadership.
• Excellent written and verbal communication skills, with the ability to build trust as a hands-on legal
• advisor in a fast-paced, entrepreneurial environment.
• Hands-on experience with construction contracts is required, including EPC and BOP agreements.
• Must be legally authorized to work in the United States without the need for employer visa sponsorship, now or in the future.

Additional Desired Experience and Skills

• Broad real estate and land acquisition experience is strongly desired, including purchase and sale
• agreements, option agreements, easement review, and title review.
• A background in energy markets, digital infrastructure, or related industries.
• Experience with electric energy and capacity transactions.
• Experience with natural gas procurement and transportation.
• Familiarity with tolling and other revenue agreements.
• Experience with interconnection and permitting processes.
• Project finance experience.

Essential Functions & Key Responsibilities

Construction Transactional Support

• Lead and manage negotiation of a variety of construction-related agreements supporting data center and co-located electric generating facility developments, including EPC and BOP agreements and related change orders.
• Negotiate major equipment procurement and leasing arrangements, including owner-furnished
• equipment arrangements.
• Support land acquisitions and dispositions for project sites, including purchase and sale agreements, option agreements, easement review, and title review.
• Serve as the subject-matter legal expert for members of the construction team on a variety of related commercial agreements that arise in connection with construction projects.

Strategic & Cross-Functional Advisory

• Serve as a trusted legal advisor to company leadership and cross-functional teams.
• Partner with the General Counsel and outside counsel on strategic partnerships and complex
• transactions.
• Provide practical, business-minded legal guidance across a broad range of matters as the company scales.
