Job summary

Page Executive is seeking a skilled legal professional in San Francisco to guide clients on corporate capital markets transactions. The successful candidate will draft legal documents, ensure compliance with regulatory requirements, and mentor junior staff.

This position offers a competitive base salary of $260,000 to $365,000 annually, along with comprehensive benefits. Ideal candidates will hold a Juris Doctor (JD) degree and maintain strong knowledge of corporate law.

Qualifications

  • Must have a Juris Doctor (JD) degree from an accredited law school.
  • Prior bar admission in good standing in California or eligibility to waive into the jurisdiction is necessary.
  • Strong knowledge of corporate law and capital markets transactions required.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.

Job Description
  • Advise clients on corporate capital markets transactions, including securities offerings and regulatory compliance.
  • Draft and review legal documents such as prospectuses, offering memoranda, and other transaction-related agreements.
  • Collaborate with internal and external stakeholders to ensure seamless execution of transactions.
  • Provide guidance on SEC filings, including annual reports and registration statements.
  • Research and analyze legal issues related to corporate governance and securities regulations.
  • Support due diligence efforts and risk assessments for clients in capital markets activities.
  • Stay updated on changes in laws and regulations impacting the capital markets sector.
  • Mentor junior team members and contribute to knowledge-sharing within the department.
The Successful Applicant

A successful candidate should have:
