Advise public corporate clients on SEC regulatory compliance and reporting mandates.
Draft, review, and submit key regulatory filings, including:
Periodic SEC disclosures (Forms 10-K, 10-Q, and 8-K)
Proxy statements
Section 13 and Section 16 beneficial ownership reports
Provide strategic counsel to boards of directors and executive leadership on corporate governance frameworks and NYSE/Nasdaq stock exchange listing standards.
Assist in executing diverse capital markets transactions and securities offerings.
Perform legal research and draft complex transaction documentation, agreements, and client advisories.
Oversee end-to-end deal execution, managing transactions from structuring through to closing.
Partner effectively with attorneys and cross-functional teams across various practice areas and offices.
Monitor trends, regulatory updates, and emerging developments across securities law and SEC guidelines.
Engage actively in ongoing professional development and industry initiatives.
Education: Juris Doctor (J.D.) from an accredited law school.
Bar Admission: Active member in good standing of the New York or New Jersey State Bar.
Experience: 5+ years of dedicated capital markets and securities law practice.
Client Advisory: Demonstrated background counseling mid- to large-cap publicly traded corporations.
Regulatory Expertise: In-depth understanding and practical command of the Securities Act of 1933 (along with related SEC rules and disclosure regulations).
